Proxy conferral on the representative designated by the Company

The proxy may be conferred on Computershare S.p.A., with offices in Turin, Via Nizza no. 262/73, representative designated by the Company for this purpose, pursuant to art. 135-undecies, Lesiglative Decree February 24, 1998, no. 58, with the power to replace it in a case of impossibility. The proxy must be conferred by the end of the second trading day prior to the date set forth the Shareholders' Meeting (i.e. by April 25, 2023).

The proxy conferred on the Designated Representative must contain the voting instructions and is only valid for the proposals in relation to which voting instructions have been conferred.

Please note that the shares for which proxy is conferred on Designated Representative are calculated in order to determine due constitution of the Shareholders' Meeting. With regard to proposals for which no voting instructions are given, the shares of the shareholder concerned are not considered in calculating the majority and the percentage of capital required for the resolutions to be approved.

Conferral of proxy and voting instructions on the Designated Representative is free of charge for the shareholder, except where transmission or postal charges apply.

The proxy may be conferred on the Designated Representative by using the specific web application prepared and directly managed by Computershare S.p.A., through which the proxy form on the Designated Representative can be filled in (by a step-by-step guided procedure) by the end of the second trading day prior to the date set forth the Shareholders' Meeting (i.e. by April 25, 2023). The relevant link will be active starting from April 6, 2023.

The proxy, completely filled in and duly signed, must be sent to the Designated Representative, by the end of the second trading day prior to the date set forth the Shareholders' Meeting (i.e. by April 25, 2023), in accordance with the procedures described in the "Instructions for filling in and submitting the form" of the Proxy Form on the Designated Representative.
