Vimercate (Monza Brianza), 18 marzo 2024 – Con riferimento al patto parasociale tra Axopa S.r.l. ("Axopa") e Montinvest S.r.l. ("Montinvest" e congiuntamente ad Axopa le "Parti") avente ad oggetto azioni Esprinet S.p.A. ("Esprinet") stipulato in data 24 marzo 2023 (il "Patto Parasociale") finalizzato alla presentazione delle liste per il rinnovo degli organi sociali di Esprinet nel contesto dell'assemblea di approvazione del bilancio al 31 dicembre 2023, si rende noto che in data 14 marzo 2024 le Parti hanno convenuto che il medesimo si intenderà automaticamente sciolto a decorrere dal giorno successivo a tale assemblea (l'"Accordo Modificativo"). Il Patto Parasociale, come modificato dall'Accordo Modificativo, è stato pubblicato per estratto sul sito internet della Società all'indirizzo www.esprinet.com, sezione Governance / Sistema di Governance / Patti Parasociali ed è altresì disponibile sul meccanismo di stoccaggio autorizzato "eMarket Storage" ()
Il suddetto patto, in versione integrale, è stato depositato presso il Registro delle Imprese di Milano - Monza Brianza - Lodi in data 15 marzo 2024 ed è stato altresì comunicato alla Consob in data 18 marzo 2024.
L'estratto del patto di sindacato è stato pubblicato sul quotidiano "Il Sole 24 ORE", in data 15 marzo 2024.

Vimercate (Monza Brianza), 18 March 2024 – Regarding the shareholders' agreement between Axopa S.r.l. ("Axopa") and Montinvest S.r.l. ("Montinvest" and jointly with Axopa the "Parties") concerning the ordinary shares of Esprinet S.p.A. ("Esprinet") entered into on 24 March 2023 (the "Shareholders' Agreement") for the presentation of lists for the renewal of Esprinet's corporate bodies in the context of the shareholders' meeting called to approve the financial statements as at 31 December 2023, it is hereby announced that on 14 March 2024 the Parties agreed that the Shareholders' Agreement will be automatically terminated as of the day following such shareholders' meeting (the "Amending Agreement"). The Shareholders' Agreement, as amended by the Amending Agreement, has been published as extract on the website of the Company www.esprinet.com, under Governance / Corporate Governance / Shareholders' Agreement and it is also available on the authorized storage mechanism "eMarket Storage" ().
The abovementioned agreement, in its integral version, has been filed with the Companies' Register of Milano - Monza Brianza – Lodi on 15 March 2024 and it has been communicated to Consob on 18 March 2024.
The extract of the shareholders' agreement has been published in the newspaper "Il Sole 24 ORE" on 15 March 2024.
