Uboldo, 28 marzo 2024 – LU-VE S.p.A. rende noto che è stata messa a disposizione del pubblico la seguente documentazione:

• la Relazione Finanziaria Annuale relativa all'esercizio 2023 (comprensiva del Bilancio d'esercizio e del Bilancio consolidato al 31 dicembre 2023, della Relazione degli amministratori sulla gestione, delle Relazioni del Collegio Sindacale e della Società di Revisione e dell'attestazione del Chief Executive Officer e del Dirigente Preposto di cui all'art. 154-bis, comma 5 del D. Lgs. n. 58/98);
• il Report di Sostenibilità 2023 del Gruppo LU-VE contenente la dichiarazione consolidata di carattere non finanziario ex D. Lgs. n. 254/2016 (comprensivo dell'attestazione richiesta dall'art. 3, comma 10 del D. Lgs. 254/2016, nonché dall'art. 5 del Regolamento Consob adottato con delibera n° 20267 del gennaio 2018);
• la Relazione sul governo societario e sugli assetti proprietari relativa all'esercizio 2023;
• la "Relazione illustrativa del Consiglio di Amministrazione sulla proposta all'ordine del giorno di parte straordinaria dell'Assemblea degli azionisti convocata in sede ordinaria e straordinaria il giorno 29 aprile 2024 in unica convocazione", nella versione integrata rispetto a quella pubblicata in data 25 marzo 2024. Si precisa che l'integrazione ha ad oggetto una precisazione sulla modifica proposta all'art. 12 dello Statuto Sociale (evidenziata alle pagine 3 e 5 della Relazione), volta a chiarire nel testo della relazione e nella clausola statutaria che, qualora il Consiglio di Amministrazione si avvalga della facoltà di ricorrere in via esclusiva al rappresentante designato ex art. 135-undecies del TUF, e ove consentito dalla normativa pro tempore vigente, "nell'avviso di convocazione dell'Assemblea potrà essere indicato, con le modalità e nei limiti consentiti dalla normativa, anche regolamentare, pro tempore vigente, che la partecipazione potrà avvenire per tutti i soggetti legittimati anche o unicamente mediante mezzi di telecomunicazione nel rispetto delle condizioni previste per le adunanze del Consiglio di Amministrazione al successivo articolo 18, comma 3 del presente Statuto, senza necessità che si trovino nello stesso luogo il Presidente dell'Assemblea, il segretario e/o il notaio".

La predetta documentazione è stata depositata presso la sede amministrativa della Società in Uboldo (VA), via della Liberazione n. 53 e messa a disposizione del pubblico sul sito Internet della Società all'indirizzo www.luvegroup.com (sezione "Investor"- "Governo societario & azionisti" – "Per gli azionisti" – "Assemblea degli azionisti" - "Assemblea 29 aprile 2024"), nonché sul meccanismo di stoccaggio autorizzato denominato eMarket Storage consultabile all'indirizzo internet .

Uboldo, 28 March, 2024 - LU-VE S.p.A. announces that the following documents have been made available to the public:

• the Annual Financial Report for the year 2023 (including the Financial Statements and the Consolidated Financial Statements as of 31 December 2023, the Director's Report, the Board of Statutory Auditors' Report, the Independent Auditors' Report and the Statement of the Chief Executive Officer and Financial Reporting Officer pursuant to Article 154-bis, paragraph 5 of Legislative Decree No. 58/98);

• the LU-VE Group Sustainability Report 2023 containing the consolidated non-financial statement pursuant to Legislative Decree No. 254/2016 (including the statement required by Article 3, Paragraph 10 of Legislative Decree No. 254/2016, as well as Article 5 of Consob Regulation adopted by Resolution No. 20267 of January 2018);

• the Report on Corporate Governance and Ownership Structure for the year 2023;

• the "Explanatory Report of the Board of Directors on the proposal on the Agenda "Explanatory report of the Board of Directors on the proposals on the agenda of the extraordinary session of the Shareholders' Meeting convened in ordinary and extraordinary session on 29 April 2024 in a single call", in the version integrated from the one published on March 25, 2024. It should be noted that the integration has as its object a clarification on the proposed amendment to Article 12 of the Articles of Association (highlighted on pages 3 and 5 of the Report), aimed at clarifying in the text of the report and in the clause of the Articles of Association that, if the Board of Directors avails itself of the right to make exclusive use of the designated representative pursuant to Art. 135 undecies of the TUF, and to the extent permitted by the legislation pro tempore in force, "the notice of the Shareholders' Meeting might indicate, in the way and within the limits permitted by the legislation and regulations in force at the time, that attendance might also or solely take place for all eligible persons by means of telecommunications in compliance with the conditions provided for meetings of the Board of Directors in Article 18, paragraph 3 of these By-Laws hereinunder, without the need for the Chairman of the Shareholders' Meeting, the secretary and/or the notary to be in the same place".
