SHAREHOLDERS' MEETING - LIST OF CANDIDATES FOR APPOINTMENT TO THE BOARD OF STATUTORY AUDITORS

Bologna, 2 April 2024

In relation to the appointment of the Board of Statutory Auditors of UnipolSai Assicurazioni S.p.A. (the "Company"), on the agenda of the ordinary session of the Shareholders' Meeting called for 23 April 2024, and further to the press releases of 30 March last, no list was filed by Company' shareholders other than the one already filed by the majority shareholder Unipol Gruppo S.p.A. ("Unipol"), available to the public at the registered office, on the authorised storage mechanism eMarket Storage (), and on the Company website www.unipolsai.com (Governance /Shareholders' Meeting/2024/Ordinary and extraordinary Shareholders' Meeting of 23 April 2024 section).

Pursuant to Article 24 of the Company's By-Laws, "If only one list […] are presented, shall be elected as Effective and Alternate Auditors all candidates to the relevant position indicated in the sole list presented […] to the extent they obtain the relative majority of the votes cast at the Shareholders' Meeting and without prejudice in any event to the provisions of law on gender balance in force at the time. In such case, the Shareholders' Meeting shall appoint the Chairman of the Board of Statutory Auditors".

In this respect, as specified in the aforementioned list, Unipol nominates Mr. Cesare Conti as Chairperson of the Board of Statutory Auditors.
