Saipem: pubblicazione di documentazione

Milano, 10 aprile 2024 – Saipem S.p.A. ("Saipem" o la "Società") informa che è a disposizione del pubblico presso la sede sociale, sul sito Internet della Società all'indirizzo www.saipem.com (sezione "Governance" | "Assemblea degli azionisti"), sul sito Internet di Borsa Italiana S.p.A. (www.borsaitaliana.it) e presso il meccanismo di stoccaggio autorizzato "eMarket STORAGE" (), la seguente documentazione:

• − la Relazione finanziaria annuale 2023 di Saipem che comprende il progetto di bilancio d'esercizio e il bilancio consolidato al 31 dicembre 2023, la Relazione sulla gestione, l'attestazione di cui all'art. 154-bis, comma 5, del Decreto Legislativo 58/1998 ("TUF") e le relazioni della Società di revisione e del Collegio Sindacale. La Dichiarazione consolidata di carattere non finanziario 2023, ai sensi del Decreto Legislativo 254/2016, è pubblicata in una specifica sezione della Relazione sulla gestione e comprende la relativa relazione della Società di revisione;
• − il documento "2023 Sustainability Report" e relativa relazione della Società di revisione;
• − la Relazione sul governo societario e gli assetti proprietari, ai sensi dell'articolo 123-bis del TUF;
• − la Relazione sulla politica in materia di remunerazione e sui compensi corrisposti 2024, ai sensi dell'art. 123-ter del TUF e dell'art. 84-quater del Regolamento Consob adottato con Delibera n. 11971/1999 (il "Regolamento Emittenti");
• − le Relazioni Illustrative del Consiglio di Amministrazione sui punti 1, 2 e 4 dell'ordine del giorno dell'Assemblea Ordinaria.

Si precisa che i bilanci e/o i prospetti riepilogativi delle società controllate e collegate di Saipem, ai sensi dell'art. 2429, commi 3 e 4, del codice civile e dell'art. 77, comma 2-bis del Regolamento Emittenti, nonché le situazioni contabili predisposte ai fini della redazione del bilancio consolidato delle società controllate non appartenenti all'Unione Europea ed in conformità all'art. 15 del Regolamento Consob adottato con Delibera n. 20249/2017, saranno messi a disposizione del pubblico presso la sede sociale a decorrere dal 29 aprile 2024.

Milan (Italy), 10 April 2023 – Saipem S.p.A. ("Saipem" or the "Company") informs that, the following documentation is available to the public at the Company's registered office, on the Company's website at www.saipem.com ("Governance" section | "Shareholders' Meeting"), on the Borsa Italiana website (www.borsaitaliana.it) and through the "eMarket STORAGE" mechanism at ():

• − the 2023 Annual Report of Saipem, containing the consolidated and draft statutory financial statements of the Company as at 31 December 2023, the Directors' Report and the declaration pursuant to Article 154-bis, Paragraph 5 of Legislative Decree 58/1998, as well as the Reports by the Statutory Auditors and the Independent Auditors. The 2023 Consolidated Non-Financial Statement, pursuant to Legislative Decree 254/2016, has been published in a specific section of the Directors' Report and includes the report by the Independent Auditors;
• − the document "2023 Sustainability Report" and associated report by the Independent Auditors;
• − the Corporate Governance and Shareholding Structure Report, pursuant to Article 123-bis of Legislative Decree 58/1998;
• − the Report on Saipem's 2024 Remuneration Policy and Compensation Paid, pursuant to Article 123 ter of Legislative Decree 58/1998 and Article 84-quater of Consob Regulation adopted with Resolution No. 11971/1999 ("Issuers' Regulations");
• − the Board of Directors' Reports on items 1, 2 and 4 of the agenda of the Ordinary Shareholders' Meeting.

It should be noted that the financial statements and/or the summary statements of Saipem's subsidiaries and affiliated companies pursuant to Article 2429, Paragraphs 3 and 4, of the Italian Civil Code and Article 77, Paragraph 2-bis of the Issuers' Regulation, as well as the financial statements prepared for the purpose of drawing up the consolidated financial statements of the subsidiaries not belonging to the European Union and in accordance with Article 15 of the Consob Regulation adopted with Resolution No. 20249/2017, will be made available to the public at the Company's registered office as from 29 April 2024.
