Verification of the requirements of the directors Gabriele Albertini and Federica Casalvolone appointed by the Shareholders' Meeting of 5 April 2024

Milan, 13 May 2024 - Generalfinance (hereinafter "Generalfinance") announces that today the Board of Directors has ascertained - on the basis of the information provided by the interested parties - that it meets the requirements of: (a) integrity, set forth in the regulations in force and applicable to companies with shares traded on an Italian regulated market, (b) independence, pursuant to the provisions of the Consolidated Law on Finance and the Corporate Governance Code, as well as (c) the absence of grounds for ineligibility or forfeiture, pursuant to art. 2382 of the Italian Civil Code with respect to the directors Gabriele Albertini and Federica Casalvolone, appointed by the Shareholders' Meeting of 5 April last, pursuant to art. 2386, paragraph 1, of the Italian Civil Code. Mr Albertini and Ms Casalvolone will remain in office until the expiry of the current Board of Directors (i.e., until the date of the Shareholders' Meeting called to approve the financial statements for the year ending 31 December 2024).

As of today, neither Mr Albertini or Ms Casalvolone: (i) are members of internal committees of the Board of Directors and (ii) on the basis of the communications made to the Company, do not hold equity investments in Generalfinance.
