RESIGNATION OF VICE CHAIRMAN

Bologna, 27 June 2024

UnipolSai S.p.A. (the "Company") announces that, today, Mr. Fabio Cerchiai handed in his resignation as a Vice Chairman and Member of the Board of Directors of the Company, with effect on the same date.

Said resignation is consequent to the appointment, last April 19, of Mr. Cerchiai as a Chairman and Board Member of BPER Banca S.p.A., a position that determines a situation of incompatibility for the "interlocking" regulations.

Mr. Cerchiai - non-executive and non-independent Board Member and not a member of any committees - was appointed by the ordinary Shareholders' Meeting on 27 April 2022, as part of the single list submitted by the majority shareholder, Unipol Gruppo S.p.A.

The Board of Directors, at the next board meeting, will make the decisions for regarding the composition of the Company's board of directors.
