MONDO TV: Comunicazione di avvenuta variazione del capitale sociale

3 luglio 2024 – Mondo TV S.p.A. comunica, ai sensi dell'art. 98 della delibera Consob n. 11971 del 14 maggio 1999 e successive modificazioni e dell'art. IA.2.3.4 delle Istruzioni Borsa Italiana S.p.A., la nuova composizione del capitale sociale interamente sottoscritto e versato, a seguito delle emissioni di nuove azioni in virtù delle conversioni operate da CLG Capital nell'ambito dell'accordo di investimento approvato dalla assemblea dei soci della Società come da comunicato stampa dell'11 dicembre 2023, cui si rinvia - con il quale CLG Capital si è impegnata a sottoscrivere, direttamente o tramite un soggetto eventualmente designato ai sensi del Contratto, in più tranches e solo a seguito di specifica richieste di sottoscrizione formulate dalla Società 60 bond convertibili in azioni per un valore di Euro 125.000 ciascuno (i "Bond").

A seguito delle conversioni di bond come da comunicato pubblicato in data 07 giugno 2024, sono state emesse nuove azioni ordinarie prive di valore nominale espresso, aventi godimento, diritti e caratteristiche pari a quelle in circolazione alla data della loro rispettiva emissione.

L'attestazione dell'avvenuta esecuzione dell'aumento di capitale sociale è stata depositata presso il Registro delle Imprese di Roma (ex articolo 2444 del Codice Civile) in data 02 luglio 2024 e il capitale sociale risulta così composto:

PRESS RELEASE MONDO TV: Notification of Change of Company's capital

July 3, 2024 – Mondo TV S.p.A. communicates, pursuant to art. 98 of Consob resolution no. 11971 of 14 May 1999 and subsequent amendments and art. IA.2.3.4 of the Borsa Italiana S.p.A. Instructions, the new composition of the fully subscribed and paid-up share capital, following the issues of new shares by virtue of the conversions carried out by CLG Capital as part of the investment agreement approved by the shareholders' meeting of the Company as per the press release of 11 December 2023, to which reference is made - with which CLG Capital has undertaken to subscribe, directly or through a person possibly designated pursuant to the Contract, in several tranches and only following specific requests for subscription formulated by the Company for 60 bonds convertible into shares for a value of Euro 125,000 each (the "Bonds").

Following the bond conversions as per the press release published on 7 June 2024, new ordinary shares without an expressed nominal value were issued, with enjoyment, rights and characteristics equal to those in circulation on the date of their respective issue.

The certification of the execution of the share capital increase was filed with the Company Register of Rome (ex article 2444 of the Civil Code) on 02 July 2024 and the share capital is composed as follows:
