### COMUNICATO STAMPA

#### GRUPPO PIAGGIO: PRIMO SEMESTRE 2024

Michele Colaninno, Amministratore delegato – CEO del Gruppo Piaggio: *"Piaggio consolida ancora una volta marginalità molto positive, in linea con quanto ci eravamo prefissati. La strategia di prodotto si conferma corretta e il rafforzamento dei nostri marchi nel mondo sta procedendo bene; Moto Guzzi e Aprilia, ad esempio, solo nel secondo trimestre hanno registrato il record di vendita di 11.888 motociclette in Europa.*

*Relativamente ai mercati, è stato registrato un rallentamento principalmente in Asia e America. Per la restante parte dell'anno ci aspettiamo mercati non euforici (ma in recupero) in alcune regioni del sud est asiatico. Il continente indiano ha performato bene e si prevede continui a evidenziare risultati migliorativi rispetto al 2023.*

*Il perdurare delle crisi politiche internazionali ci impone di essere cauti e attenti in quanto la logistica e i necessari destock delle reti mondiali in corso, principalmente in conseguenza di cambi normativi, potranno portare a un aumento dei costi.*

*La gestione operativa del Gruppo ha consentito di migliorare la nostra produttività. L'obiettivo resta confermare ottime marginalità anche per il secondo semestre, anche nel caso in cui le vendite dovessero risultare ancora in contrazione."*

*Pontedera, 29 luglio 2024* – Il Consiglio di Amministrazione di Piaggio & C. S.p.A. (PIA.MI), riunitosi oggi sotto la presidenza di Matteo Colaninno, ha esaminato e approvato la relazione finanziaria semestrale al 30 giugno 2024.

#### *Andamento economico-finanziario del Gruppo Piaggio al 30 giugno 2024[1](#page-1-0)*

<span id="page-1-0"></span><sup>1</sup> Gli indicatori alternativi di performance più rilevanti utilizzati e rappresentanti quanto monitorato dal Management del Gruppo Piaggio sono i seguenti:

<sup>•</sup> EBITDA: definito come risultato operativo (EBIT) al lordo degli ammortamenti e costi di *impairment* delle attività immateriali materiali e dei diritti d'uso, così come risultanti dal Conto economico consolidato;

<sup>•</sup> Margine lordo industriale: definito come la differenza tra i ricavi netti e il costo del venduto;

<sup>•</sup> Posizione finanziaria netta: rappresentata dal debito finanziario lordo, ridotto della cassa e delle altre disponibilità liquide equivalenti, nonché degli altri crediti finanziari correnti. Non concorrono, invece, alla determinazione della Posizione Finanziaria Netta le altre attività e passività finanziarie originate dalla valutazione al *fair value,* gli strumenti finanziari derivati designati di copertura e non, l'adeguamento al *fair value* delle relative poste coperte ed i relativi ratei.

I ricavi netti consolidati del Gruppo sono stati pari a 990,3 milioni di euro (1.167,2 milioni di euro al 30 giugno 2023, -15,2%).

Il margine lordo industriale è stato pari a 295 milioni di euro (327,8 milioni di euro nel primo semestre 2023, -10%), con un'incidenza sul fatturato in crescita, pari al 29,8% (28,1% al 30 giugno 2023)**.**

Le spese operative sostenute dal Gruppo sono risultate pari a 190,9 milioni di euro (210,2 milioni di euro al 30 giugno 2023).

L'evoluzione del conto economico sopra descritta porta a un EBITDA consolidato di 173,8 milioni di euro (191,2 milioni di euro al 30 giugno 2023, -9,1%). L'EBITDA *margin,* in crescita, è pari al 17,5% (16,4% al 30 giugno 2023).

Il risultato operativo (EBIT) è stato pari a 104,1 milioni di euro (117,6 milioni di euro al 30 giugno 2023, -11,5%). L'EBIT *margin* è pari al 10,5% (10,1% al 30 giugno 2023).

Il risultato ante imposte del periodo è stato pari a 77,8 milioni di euro (98,2 milioni di euro al 30 giugno 2023, -20,8%). Le imposte di periodo sono state pari a 25,7 milioni di euro, con un'incidenza del 33% sul risultato ante imposte.

Nel primo semestre 2024 il Gruppo Piaggio ha consuntivato un utile netto positivo per 52,1 milioni di euro (64,8 milioni di euro al 30 giugno 2023, -19,6%).

L'indebitamento finanziario netto (PFN) al 30 giugno 2024 risulta pari a -408 milioni di euro, in miglioramento per 26,1 milioni di euro rispetto ai -434 milioni di euro al 31 dicembre 2023.

Il patrimonio netto del Gruppo al 30 giugno 2024 ammonta a 443,2 milioni di euro (416 milioni di euro al 31 dicembre 2023).

Nel periodo di riferimento il Gruppo Piaggio ha consuntivato investimenti per 77,3 milioni di euro (65,8 milioni di euro investiti nel primo semestre del 2023).

#### *Andamento dei business al 30 giugno 2024*

Al 30 giugno 2024 il Gruppo Piaggio ha venduto complessivamente nel mondo 270.100 veicoli (324.600 nel primo semestre 2023, -16,8%), registrando ricavi consolidati per 990,3 milioni di euro (1.167,2 milioni di euro al 30 giugno 2023).

#### *Due ruote:*

Al 30 giugno 2024 il Gruppo ha venduto nel mondo 211.200 veicoli a due ruote (267.400 veicoli venduti nel primo semestre 2023, -21%), registrando un fatturato netto di 788 milioni di euro (954,7 milioni al 30 giugno 2023, -17,5%).

Il dato include anche ricambi e accessori, che hanno registrato un fatturato pari a 80,9 milioni di euro (84,1 milioni al 30 giugno 2023, -3,9%).

In Europa il Gruppo Piaggio ha conseguito nel segmento scooter una quota del 21,4%, mentre sul mercato nordamericano degli scooter si è attestata a una quota del 27,2%. In Nord America il Gruppo è inoltre impegnato a consolidare la propria presenza anche sul segmento moto, attraverso i brand Aprilia e Moto Guzzi.

## *Veicoli commerciali:*

Nel settore dei veicoli commerciali nel primo semestre 2024 il Gruppo Piaggio ha venduto 58.900 unità, in incremento del 3,1% (57.100 al 30 giugno 2023), consuntivando un fatturato netto pari a 202,3 milioni di euro (212,5 milioni di euro al 30 giugno 2023, -4,8%). Il dato include ricambi e accessori, che hanno registrato un fatturato di 31,8 milioni di euro (+6,3%; 29,9 milioni di euro nel primo semestre 2023).

A livello geografico, si evidenzia la performance positiva dell'area Americas dove, grazie alla crescita dei volumi (+53,6%), è aumentato il fatturato del 39,5%. Positiva anche la performance dell'India con volumi in aumento del 3,4% e fatturato in crescita del 2,9%.

### *Piaggio Fast Forward:*

Piaggio Fast Forward (PFF), la società del Gruppo Piaggio con sede a Boston incentrata sulla robotica e mobilità del futuro, continua le vendite dei droni terrestri gita®, gitamini®, e del nuovo kilo™, il rivoluzionario robot dotato di tecnologia smart following presentato a marzo. kilo™ ha una capacità di carico fino a 130kg e, grazie agli imaging radar 4D e all'innovativo pacchetto di sensori sviluppati da PFF, è in grado di seguire l'operatore, muoversi in autonomia e percorrere oltre 100 tracciati memorizzati.

Gita®, gitamini® e kilo™ vengono prodotti nello stabilimento di Piaggio Fast Forward situato nel quartiere Charlestown, a Boston. La commercializzazione dei robot prevede una prima fase dedicata al mercato statunitense, dove la circolazione di robot per le strade cittadine è già disciplinata.

PFF ha progettato e sviluppato sensori con una innovativa tecnologia in grado di offrire una sicurezza senza pari, montati anche sulla nuova Moto Guzzi Stelvio. Grazie all'integrazione di sistemi avanzati di assistenza alla guida (ARAS), i nuovi radar svolgono un ruolo fondamentale nella prevenzione di incidenti e nella protezione dei motociclisti.

## *Eventi di rilievo al 30 giugno 2024 e successivi*

A integrazione di quanto già riportato nel presente testo o comunicato in sede di approvazione della relazione finanziaria trimestrale al 31 marzo 2024 (Consiglio di Amministrazione del 9 maggio 2024), si riportano di seguito i principali eventi del periodo e successivi.

Il 14 maggio le nuove Vespa Primavera 150 e Vespa Sprint 150 hanno fatto il debutto sul mercato cinese con un grande evento che si è svolto a Shanghai, allo Shangsheng-Xinsuo (il Columbia Circle), nuovo punto di riferimento culturale della metropoli cinese, in una fusione di culture, design, italian style e moda. Alla serata hanno preso parte star del mondo asiatico e istituzioni, tra le quali la Console Generale d'Italia a Shanghai, Tiziana D'Angelo.

Il 4 giugno il Gruppo Piaggio ha reso noto che la Corte di Cassazione ha dichiarato inammissibile il ricorso di Peugeot Motocycles SAS e Peugeot Motocycles Italia avverso la sentenza del 16 gennaio 2023 della Corte d'Appello di Milano che, in linea con il Tribunale di Milano (in primo grado), aveva accertato la violazione da parte di quest'ultime, con riferimento al veicolo Peugeot Metropolis, della frazione italiana di un brevetto europeo di Piaggio & C. S.p.a.. Per effetto dell'accertata contraffazione Peugeot Motocycles Italia è stata condannata a risarcire Piaggio & C. S.p.a. con oltre 1 milione di euro.

L'8 giugno si è svolta l'edizione 2024 di Aprilia All Stars nel circuito di Misano che ha riunito oltre 20.000 appassionati da ogni parte d'Italia e d'Europa per festeggiare Aprilia, le sue moto, i suoi piloti e la sua storia.

L'11 giugno Michele Colaninno, Chief Executive Officer del Gruppo Piaggio è stato eletto per il secondo mandato Presidente di ACEM (Association des Constructeurs Européens de Motocycles), l'associazione europea dell'industria motociclistica con sede a Bruxelles, cui partecipano tutti i gruppi mondiali di moto e scooter.

Il 17 giugno è stato presentato il progetto Vespa "The Empty Space", uno spazio infinito di Vespa oltre i confini del tempo. Un "luogo non-luogo", che incarna i valori senza tempo del marchio che dalla sua fondazione hanno rivoluzionato il modo di muoversi e di pensare. Con l'occasione è stata presentata una collezione moda Vespa Summer Edit e Vespa By The Sea, un take-over creativo con cui Vespa ha vestito la spiaggia di Paraggi.

#### *Evoluzione prevedibile della gestione*

In assenza di ulteriori fattori di criticità del quadro macroeconomico globale, Piaggio, grazie ad un portafoglio di marchi iconici, apprezzati nel mondo come simboli italiani di eleganza, sportività e alta tecnologia, auspica di mantenere per il 2024 i livelli di marginalità raggiunti negli ultimi mesi, indipendentemente dal possibile temporaneo rallentamento di alcuni mercati.

Le attuali difficoltà nei trasporti internazionali legate al conflitto israelo-palestinese ed il correlato incremento dei costi e dei tempi di consegna continueranno ad essere gestiti attraverso un'attenta pianificazione dei livelli di scorte e dei flussi di acquisto, mantenendo costante l'attenzione sulla ricerca di maggiore efficienza.

In ragione di ciò sono confermati gli investimenti previsti in nuovi prodotti nel settore delle due ruote e in quello dei veicoli commerciali e il consolidamento dell'impegno sulle tematiche ESG. In Italia sono stati definiti importanti piani di investimento per i prossimi anni, così da essere pronti anche alla transizione energetica in atto. La decisione di verticalizzare lo sviluppo e la produzione degli asset strategici sarà la chiave per affrontare con efficienza le nuove tecnologie.

## *Acconto sul dividendo*

Il Consiglio di Amministrazione, avendo approvato il Prospetto Contabile al 30 giugno 2024 e la Relazione degli Amministratori ai sensi dell'art. 2344 -bis del Codice Civile, nonché ricevuto il Parere della società di revisione, ha quindi deliberato di distribuire un acconto sul dividendo ordinario dell'esercizio 2024 pari a 11,5 centesimi di euro, lordo da imposte, per ciascuna azione ordinaria avente diritto (acconto sul dividendo ordinario dell'esercizio 2023 pari a 12,5 centesimi di euro), per un ammontare complessivo di Euro 40.733.677,12.

La data di stacco della cedola n. 23 è il giorno 23.09.2024, record date dividendo il 24.09.2024 e, quale data a partire dalla quale viene posto in pagamento il dividendo (payment date), il giorno 25.09.2024.

Il Prospetto Contabile, la Relazione degli Amministratori e il Parere della società di revisione, previsti dall'art. 2433-bis del Codice Civile, sono a disposizione degli azionisti presso la Sede Sociale della Società (Viale Rinaldo Piaggio 25, Pontedera - PI).

## PIAGGIO GROUP: FIRST HALF 2024

Piaggio Group Managing Director – CEO Michele Colaninno: *"Once again Piaggio has reported very positive margins, in line with our targets. Our product strategy is proving correct, and our brands continue to strengthen well around the world; Moto Guzzi and Aprilia, for example, in the second quarter alone shipped a record 11,888 motorcycles in Europe.*

*On the markets, there was a slowdown, mainly in Asia and America. For the rest of the year, we expect non-euphoric (but recovering) markets in some regions of south-east Asia. The Indian continent performed well, and is expected to continue reporting improvements with respect to 2023. The continuing international political crises mean we have to take a prudent approach, since logistics and the current necessary destocking of world networks, largely as a result of regulatory changes, could lead to increased costs.*

*The Group's operational management has enabled us to improve productivity. Our goal continues to be to confirm excellent margins in the second half, even if sales should continue to decline."*

## *Piaggio Group business and financial performance at 30 June 2024[1](#page-11-0)*

Group consolidated net sales totalled 990.3 million euro (-15.2% from 1,167.2 million euro at 30 June 2023).

The industrial gross margin was 295 million euro (327.8 million euro in the year-earlier period, -10%), for a higher return on net sales of 29.8% (28.1% at 30 June 2023)**.**

Group operating expense was 190.9 million euro (210.2 million euro at 30 June 2023).

The changes in the income statement described above generated consolidated EBITDA of 173.8 million euro (191.2 million euro at 30 June 2023, -9.1%). The EBITDA margin rose to 17.5% (16.4% at 30 June 2023).

EBIT amounted to 104.1 million euro (117.6 million euro at 30 June 2023, -11.5%). The EBIT margin was 10.5% (10.1% at 30 June 2023).

Pre-tax profit for the first half was 77.8 million euro (98.2 million euro at 30 June 2023, -20.8%). Income tax for the period was 25.7 million euro, with an impact on pre-tax profit of 33%.

In the first half of 2024 the Piaggio Group reported a net profit of 52.1 million euro (64.8 million euro at 30 June 2023, -19.6%).

Net financial debt at 30 June 2024 stood at -408 million euro, an improvement of 26,1 million euro from -434 million euro at 31 December 2023.

Group shareholders' equity at 30 June 2024 was 443.2 million euro (416 million euro at 31 December 2023).

In the first half, Piaggio Group capital expenditure amounted to 77.3 million euro (65.8 million euro in the year-earlier period).

#### *Business performance in the first half to 30 June 2024*

In the first half to 30 June 2024, the Piaggio Group sold 270,100 vehicles worldwide (324,600 in the first half of 2023, -16.8%), and reported consolidated net sales of 990.3 million euro (1,167.2 million euro at 30 June 2023).

#### *Two-wheelers:*

In the first half of 2024, the Group sold 211,200 two-wheelers worldwide (267,400 in the first half of 2023, -21%), generating net sales of 788 million euro (954.7 million euro at 30 June 2023, -17.5%).

The figure includes spares and accessories, on which turnover totalled 80.9 million euro (84.1 million euro in the first half of 2023, -3.9%).

In Europe the Piaggio Group had a 21.4% share of the scooter segment; on the North American scooter market its share was 27.2%. In North America the Group also continued work to consolidate its presence on the motorcycle market with the Aprilia and Moto Guzzi brands.

#### *Commercial vehicles:*

In commercial vehicles, the Piaggio Group reported 2024 first-half sales volumes of 58,900 vehicles, up 3.1% (57,100 in the year-earlier period), with net sales of 202.3 million euro (212.5 million euro at 30 June 2023, -4.8%). The figure includes spares and accessories, where turnover totalled 31.8 million euro (+6.3% from 29.9 million euro in the first half of 2023).

At geographical level, performance was positive in the Americas, where, thanks to the rise in sales volumes (+53.6%), turnover increased by 39.5%. Performance was also positive in India, with volumes increasing 3.4% and turnover up 2.9%.

#### *Piaggio Fast Forward:*

Piaggio Fast Forward (PFF), the Boston-based subsidiary of the Piaggio Group active in robotics and mobility for the future, continued sales of its terrestrial drones gita®, gitamini® and the new kilo™, a revolutionary robot featuring smart following technology, which was presented in March. With a payload of up to 130 kg, kilo™ is fitted with 4D radar imaging and the innovative package of sensors developed by PFF, enabling it to follow the operator, move autonomously, and travel along more than 100 paths stored in memory.

Gita®, gitamini® and kilo™ are produced in the Piaggio Fast Forward plant in Boston's Charlestown district. The first marketing phase for the robots focuses on the US market, where the circulation of robots on city streets is already regulated.

PFF designed and developed sensors with an innovative technology offering unparalleled safety, which have been fitted on the new Moto Guzzi Stelvio. Thanks to the integration of advanced rider assistance systems (ARAS), the new sensors play a vital role in accident prevention and rider protection.

### *Significant events in and after the first half of 2024*

Supplementing the information published above or at the time of approval of the interim report at 31 March 2024 (directors' meeting of 9 May 2024), this section illustrates key events in and after the first half of 2024.

On 14 May, the new Vespa Primavera 150 and Vespa Sprint 150 made their debut on the Chinese market, with a major event combining culture, design, Italian style and fashion held in Shanghai at the Shangsheng-Xinsuo (the Columbia Circle), the city's new cultural complex. The evening was attended by institutional representatives including Italy's Consul General in Shanghai, Tiziana D'Angelo, and stars from the Asian arts world.

On 4 June, the Piaggio Group said that the Corte di Cassazione, Italy's supreme court of appeal, had dismissed as inadmissible the appeal filed by Peugeot Motocycles SAS and Peugeot Motocycles Italia against the ruling of the Milan Court of Appeal of 16 January 2023, which upheld the first-instance judgement of the Court of Milan that, with the Peugeot Metropolis, the Peugeot entities had infringed the Italian portion of a Piaggio & C. S.p.A. European patent. Peugeot Motocycles Italia has been required to pay to Piaggio & C. S.p.A. as result of the ascertained infringement at more than 1 million euro.

On 8 June, the 2024 edition of Aprilia All Stars was held at the Misano circuit, bringing together more than 20,000 bikers from all over Italy and Europe to celebrate Aprilia, its bikes, its riders and its history.

On 11 June, Michele Colaninno, Chief Executive Officer of the Piaggio Group was elected for a second term as President of ACEM (Association des Constructeurs Européens de Motocycles), the European motorcycle industry association based in Brussels, to which all the world motorcycle and scooter groups belong.

On 17 June, the Vespa project "The Empty Space", an infinite Vespa space beyond the dimensions of time, was presented. A "non-place place" embodying the timeless values of a brand that, since its introduction, have revolutionised the way we move and think. The event included the

presentation of the Vespa Summer Edit fashion collection and Vespa By The Sea, a creative takeover of the beach at Paraggi, which was "dressed" by Vespa.

#### *Outlook*

In the absence of additional critical factors in the global macroeconomic situation, thanks to its portfolio of iconic brands, admired around the world as Italian symbols of elegance, sportiness and advanced technology, Piaggio hopes to maintain the margins of the last few months for fullyear 2024, independently of possible temporary slowdowns on some markets.

The current difficulties in international transport arising from the Israeli-Palestinian conflict and the related rise in costs and delivery times will continue to be managed through careful inventory and procurement planning, with a constant focus on the search for greater efficiency.

In light of this, Piaggio confirms the investments planned in new products in the two-wheeler sector and in commercial vehicles, and the consolidation of its commitment to ESG issues. In Italy, important investment plans have been drawn up for the coming years, to be ready for the current energy transition. The decision to verticalise the development and production of strategic assets will be the key for efficient management of the new technologies.

#### *Interim dividend*

Having approved the financial statements as at and for the six months to 30 June 2024 and the directors' report pursuant to art. 2344-bis of the Italian Civil Code, and received the opinion of the independent auditors, the Board of Directors authorised distribution of a gross interim dividend for 2024 of 11.5 eurocents to each entitled ordinary share (an interim dividend on ordinary shares of 12.5 eurocents was approved in 2023), for a total amount of Euro 40,733,677.12.

The ex-dividend date (coupon 23) is 23 September 2024; the record date is 24 September 2024 and the payment date is 25 September 2024.

The financial statements, the directors' report and the independent auditor's opinion, required under art. 2433-bis of the Italian Civil Code, will be made available to shareholders at the Company's headquarters (Viale Rinaldo Piaggio 25, Pontedera - PI).
