# **RECORD EBITDA AND GROWING ORDER BACKLOG**

### **Uboldo (Varese), 5 September 2024 - Consolidated half-yearly financial report as of 30 June 2024 approved**

In the first half of 2024 the Group achieved:

- **€296.4 million in turnover (-7.5% vs H1-23)**
- **€170.9 million in order backlog (+9.4% vs December 2023)**
- **€43.0 million EBITDA (+2.7% vs H1-23, 14.5% on sales)**
- **€20.1 million net profit (+5.2% vs H1-23, 6.8% on sales)**

As of June 30, 2024, the net financial position improved by €41.3 million reaching €118.9 million (compared to €160.2 million as of June 2023) thanks to operating profitability and tight control of net working capital. Improvement also in comparison to December 31, 2023 (€126.3 million).

## **1. CONSOLIDATED HALF-YEARLY FINANCIAL REPORT**

## The general framework

Despite the expected decline in product sales (-8.4%) with turnover of €292.8 million compared to €319.6 million in the same period of the 2023, the first half of 2024 saw an improved Group income performance thanks to the cost-cutting initiatives already launched in the second half of 2023.

The order book at the end of June (€170.9 million) instead showed progress both compared to the Q1-24 (+1.2%) and to the end of 2023 (+9.4%), confirming a return to more normal levels following the easing of disruptions that had previously affected the supply chains of certain critical components and materials throughout the value chain.

While the costs of an accelerated green transition are becoming clearer, especially for Europeans, both in economic and social terms, the spread of new technologies and those based on the use of Artificial Intelligence, is leading to considerable growth in electricity consumption. This has a two-fold effect in the sectors where the LU-VE Group operates. On the one hand, the green transition has led to the scaling back of development plans for heat pumps. On the other hand, the widespread adoption of AI, with its increasing use, is driving the growth of data centres, representing a new and expanding line of business.

During H1-24, the expansion works at the Chinese production site were completed on schedule, with production activities expected to commence in September, once all necessary authorisations have been obtained and the production lines have been tested.

On 1 April, coinciding with the close of the local tax year, the SAP roll-out was successfully completed at the Bhiwadi facility in India, in full observance of the planned timeline. Integration activities continued during the second quarter. The extension to the Sarole facility is planned by the end of the first quarter of 2025.

On 24 June, the merger plan for the incorporation of the wholly owned Italian subsidiaries Sest S.p.A. and Air Hex Alonte S.r.l. into the Parent Company LU-VE S.p.A. was officially approved by the Board of Directors of the Parent Company and the shareholders' meetings of the subsidiaries. The conclusion of the project is expected by the end of September and is aimed at simplifying the Group's organisational structure, which should result in better management efficiency, and consequently, reduction of costs and improved market responsiveness.

In the first half of the year, contracts for the expansion of the production facility in Texas, owned by the subsidiary LU-VE US Inc., were almost entirely defined. The significant revision of the investment plan for the USA (and the consequent need to

modify the originally planned layouts) resulted in a delay in the initially estimated timeline, with construction work expected to be completed by summer 2025.

During the first half of the year, the implementation of the new global organisational structure based on regional divisions continued. This structure, through the definition of a matrix model and the redefinition of roles and operational powers, aims to improve overall efficiency and productivity and streamline the Group's business processes to better meet stakeholders' needs, ensuring a consistent level of service. The new structure was achieved with the crucial contribution of each Cluster and Department, representing an extraordinary and passionate example of teamwork.

Also of note is the Group's entry into the nuclear power sector, with the supply of cooling systems for the EDG emergency diesel generators at the Hinkley Point C power plant in Somerset, England. For details, see below under Subsequent Events at the end of the period.

ESG Topics In the first half of 2024, the LU-VE Group continued its activities in line with the 2023-2025 Sustainability Plan, approved in February 2023 by the Board of Directors of the Parent Company LU-VE S.p.A..

> The Sustainability Plan identifies a series of actions - in line with the LU-VE Group's strategic priorities and sustainability vision - based on four key macro-objectives: climate neutrality, positive impact products, high level of employee engagement and the integration of sustainability in our business plan.

> All the targets set for 2023 have been met. Some targets for 2024 and 2025 have been changed from the original plan based on the results already achieved in 2023. New objectives were also identified for 2026.

> With reference to environmental objectives, in 2023 the LU-VE Group reduced its Scope 1 and Scope 2 climate-altering emissions by 6.39% compared to 2022 and is committed to reducing them by 10% in 2024 (with respect to the same baseline). These reduction targets were identified in line with the "science-based target" methodologies.

> In terms of sustainability governance, with the definition of the Remuneration Policy, as part of the MBOs and the new 2023-2025 LTI Plan proposed, for the second consecutive year, a parameter was confirmed, linked to the reduction of emissions (Scope 1 and Scope 2), in addition to the already existing parameters linked to accident ratios.

The activities related to the "European Taxonomy for eco-sustainable activities" continued, with new assessment activities regarding the management of chemicals (relating to the technical guidance "Do No Significant Harm" - DNSH).

In the first quarter of 2024, the first phase of the Sustainability Ambassadors' Journey, the global in-house training program for which 80 employees were selected from different Group companies and business functions and departments, was completed. The "ambassadors" delved into five key sustainability issues with input from external international experts: climate crisis, energy market and energy transition, protection of human rights, promotion of circular economy, and transparent sustainability communication and greenwashing.

As part of the Sustainability Ambassadors' Journey, the Group also launched two new initiatives for its employees: a "Sustainability Lab" to discuss and implement new sustainability projects, and a "Train the Trainer" programme to accelerate internal training on climate change and its consequent environmental and social impacts.

With reference to regulatory developments, the LU-VE Group has carried out a number of activities and analyses to meet the requirements of the "Corporate Sustainability Reporting Directive (CSRD)", by the end of the financial year, in accordance with the mandatory obligations.

The CSRD, which officially came into force at the beginning of 2023 and replaced the previous "Non-Financial Reporting Directive - NFRD" (Directive 2014/95/EU), introduced new reporting requirements for non-financial information. In addition to expanding the number of companies involved, the new regulation requires reporting to be based on the principle of dual materiality and extended to all activities related to the entire upstream and downstream value chain.

Lastly, with the introduction of the European "Carbon Border Adjustment Mechanism – CBAM" regulation at the end of 2023, which mandates the reporting of greenhouse gas emissions for certain "carbon-intensive" goods, the LU-VE Group has acted promptly to comply with the legal obligations arising from the implementation of the new regulation.

Revenue "Revenues and operating income" decreased by €23.9 million (7.5%) compared to the first half of 2023. At constant exchange rates, revenues would have been approximately 1% higher. Approximately 0.6% of this decrease was due to the decline in sales prices and, for the remainder, to the drop in volumes and the change in the product mix.

> As at 30 June 2024, sales revenues from the top 10 customers accounted for a total of 30.3% of turnover (a slight increase compared to the first half of 2023), with the main

customer accounting for only 4.6% of the total, confirming that the Group does not greatly depend on individual commercial or industrial contracts.

Geographical markets From the perspective of sales distribution by geographical area, the first half of 2024 saw the European Union's share drop to 74.4% of total revenues, mainly due to a sharp decline in Italy and Germany, only partially offset by strong performances in other countries such as Poland and Sweden. As a result of the negative trend in Italy during the first half, the export share reached 80.6% of the total, with a turnover of almost €236 million.

Sales outside the EU accounted for 19.4% of the total.

Product and application segments Net of the strong negative impact from the stalled heat pump exchanger market, Group sales saw slight growth (+1%) with significantly different performance in the two Business Units. This led, for the first time in the Group's history, the "Cooling Systems" SBU surpassed the turnover of the "Components" SBU, reaching €148.8 million, an increase of 4.9%, mainly due to new projects in the world of nextgeneration data centres, despite the continued slowdown in the distribution channel and a general lacklustre performance in the market for larger-scale projects in refrigeration and air conditioning.

> Conversely, the sales result of the "Components" SBU suffered a decline of 19%, with a value of €143.9 million. However, it should be noted that, excluding the heat pump segment, the turnover decrease would have been only 3%, thanks to the recovery in demand for refrigerated counters and electrical appliances.

> Regarding the heat pump exchanger segment, which, as is known, experienced an unexpected drastic slowdown in demand starting in the second half of 2023, the sharp drop in sales (-75% in the first six months) was even worse than the most pessimistic forecasts.

> The continuing uncertainties related to the incentive system, also influenced by the expectation of the outcome of the European elections, together with the high volumes of finished product inventories still present along the distribution chain, have unfortunately also slowed down the launch of new product ranges by some manufacturers, which in the Group's expectations should have at least partially offset the slowdown in general demand.

> Although the forecasts for 2024 are quite negative for this sector, there remains a fundamental optimism for the medium-term recovery of the market, as the replacement of gas boilers with heat pump technology remains one of the key points of the "Repower UE" programme policies and the only green transition technology

in which the European Union is not dependent, in any way, on know-how, materials, or components from Asia, particularly China.

The table below shows turnover trends by application type in the first two six-month periods of 2024 and 2023 subject to comparison:

Income results

"**EBITDA**" amounted to €43.0 million (14.5% of revenues) compared to €41.8 million (13.1% of revenues) in the first half of 2023. Adjusted EBITDA for the first half of 2023, net of the impact of non-recurring costs described above, would have amounted to €42.5 million. The change in EBITDA compared to the adjusted EBITDA of the first half of 2023 (positive by €0.5 million) was generated for €9.9 million by the decrease in the costs of the main raw materials and other production costs, net of a €2.0 million decrease in sales prices and €7.4 million related to the volume effect and the change in product mix.

"**EBIT**" amounted to €27.4 million (9.2% of revenues) compared to €25.4 million (7.9% of revenues) in the first half of 2023. Net of non-recurring costs (adjusted EBIT), for the first half of 2023, it would have been €26.1 million (8.1% of revenues).

The balance of "**net financial income and expense** and exchange rate effect" was negative for €1.1 million (negative for €3.4 million in the first half of 2023). The positive difference of €2.3 million is mainly due to:

- i. the positive impact of the amortised cost for €2.8 million,
- ii. for €2.5 million to interest income on invested liquidity,
- iii. for €0.4 million to the positive change in exchange rate deltas,
- iv. for €0.5 million from the negative change in the fair value of derivative financial instruments for operational hedging of loans, and
- v. for €2.9 million from the increase in financial expense.

In addition, the negative change in the value of the put and call option related to the acquisition of the remaining 25% of the equity investment in the subsidiary Refrion S.r.l., equal to €0.9 million, was recognised within this item.

"**EBT**" was equal to €26.3 million (8.9% of revenues) against a value of €22.0 million as at 30 June 2023 (6.9% of revenues). EBT for the first half of 2024 normalised ('adjusted' EBT) for the negative change in the value of the put-and-call option (€0.9 million) and the net effect of the positive change in the fair value of derivatives and the impact of amortised cost (€1.9 million) would have amounted to €25.3 million (8.5% of revenues). EBT for the first half of 2023 normalised ("adjusted" EBT) for non-recurring costs (€0.7 million), and for the net effect of the positive change in the fair value of derivatives and the impact of the amortised cost (€0.5 million) would have been €23.2 million (7.2% of revenues).

"**Net profit**" amounted to €20.1 million (6.8% of revenues) compared to €19.1 million in the first half of 2023 (6.0% of revenues). Applying the tax effect to the non-recurring costs and revenues described above, the net profit for the first half of 2024 ('adjusted' net profit) would have been €19.6 million, 6.6% of revenues (last year, €20.0 million, 6.2% of revenues).

Net working capital LU-VE Group's operating working capital (equal to the sum of inventories and trade receivables net of trade payables) as at 30 June 2024 amounted to €105.8 million, equal to 17.8% of LTM sales (as at 30 June 2023, it totalled €133.1 million, equal to 21.4% of LTM sales).

> As at 31 December 2023, the operating working capital of LU-VE Group amounted to €103.0 million with an incidence of 16.7% on sales.

CAPEX Non-current assets as at 30 June 2024 show an increase of €0.8 million, mainly due to net investments for the period of €0.5 million and the increase in deferred tax assets of €0.3 million.

> Capital expenditures in the period total approximately €15.2 million, of which €6.8 million are related to rights of use (mainly for the renewal of the lease contract for the Alonte facility).

> Approximately €4.3 million of the period's increases are considered non-recurring (mainly related to investments for the expansion of production facilities, with reference to those carried out in Italy, India, and the Czech Republic).

Net financial position and cash generation The net financial position was negative by €118.9 million (€126.3 million as at 31 December 2023), with an improvement of €7.4 million, primarily due to investments (€12.4 million), the distribution of dividends (€9.7 million), the change in the putand-call option exercise price (€0.9 million), the increase in the operating working

capital (€2.9 million), the change in other payables and receivables (€1.2 million), the increase in other financial liabilities (IFRS 16, €3.7 million), net of €38.2 million in positive cash flows from operations.

The net financial position as at 30 June 2023 amounted to €160.2 million (net improvement of €41.3 million in the past twelve months).

In the 1 July 2023 - 30 June 2024 period, the cash flow from operations adjusted by non-operating items totalled €72.2 million.

Shareholders' equity Consolidated shareholders' equity amounted to €244.2 million compared to €229.2 million as at 31 December 2023. The increase (€15 million) is due to the profit for the period (€20.1 million) adjusted by the distribution of dividends for €9.7 million, by the positive variation of the Translation reserve (€4.5 million) and for €0.1 million by the positive change in the TFR Reserve.

#### **2. EVENTS AFTER THE END OF THE PERIOD**

Following the existing contractual agreements, in July, LU-VE S.p.A. exercised the option to purchase the remaining 25% of the shares of Refrion S.r.l. The value of the acquired shares, calculated according to the contractual formula based on the average results achieved over the last two years, amounted to €7.4 million.

The Group (through its subsidiary Refrion) signed an agreement to supply cooling systems for EDG emergency diesel generators at the Hinkley Point C power station in Somerset, England. The value of the order for LU-VE Group, signed with the Nuclear New Build Generation Company ("NNB"), through UK contractor Bouygues Energies & Services, is €27 million (of which €2 million has already been invoiced). Supply of the first batches will begin in 2025.

### **3. BUSINESS OUTLOOK**

In view of the weakness and volatility of some segments of the end markets, and in particular that of heat pumps, the Group expects a contraction in sales volumes at the end of the year, but a holding up of profitability levels thanks to all the actions implemented for process efficiency and the revision of the organization globally.

In fact, the heat pump market is confirmed as the area of greatest weakness, however, positive expectations in the medium term are confirmed in the sector, as the replacement of gas boilers with heat pump technology is one of the cornerstones of the policies of the "Repower UE" program, of the new Energy Performance of Buildings Directive (EPBD) EU 2024/1275 and (together with "renewables,"

EVs and batteries) one of the "clean energy technologies" crucial to achieving "net zero emissions" targets, as clearly appears from the recent IEA (International Energy Agency) "World Energy Outlook 2023" report.

# **RECORD EBITDA E PORTAFOGLIO ORDINI IN CRESCITA**

## **Uboldo (Varese), 5 Settembre 2024 - Approvata la Relazione intermedia sulla gestione al 30 giugno 2024**

Nella prima metà del 2024 il Gruppo ha conseguito:

- **€ 296,4 milioni di fatturato (-7,5% rispetto al H1-23)**
- **€ 170,9 milioni di portafoglio ordini al 30 giugno 2024 (+9,4% rispetto a dicembre 2023)**
- **€ 43,0 milioni di EBITDA (+2,7% rispetto a H1-23, 14,5% sul fatturato)**
- **€ 20,1 milioni di utile netto (+5,2% rispetto a H1-23, 6,8% sul fatturato)**

Al 30 giugno 2024 posizione finanziaria netta in miglioramento di € 41,3 milioni, attestatasi a € 118,9 milioni (rispetto a € 160,2 milioni al 30 giugno 2023) grazie alla redditività operativa e allo stretto controllo del capitale circolante netto. In miglioramento anche rispetto al 31 dicembre 2023 (€ 126,3 milioni).

## **1. RELAZIONE FINANZIARIA SEMESTRALE CONSOLIDATA**

# Il Quadro generale

Nonostante il previsto calo delle vendite di prodotto (-8,4%) con un fatturato di € 292,8 milioni contro € 319,6 milioni dello stesso periodo dell'esercizio precedente, il primo semestre 2024 ha registrato un miglioramento della performance reddituale del Gruppo grazie alle iniziative di contenimento dei costi già avviate nella seconda parte del 2023.

Il portafoglio ordini alla fine di giugno (pari a € 170,9 milioni) ha invece mostrato un progresso sia rispetto al dato del primo trimestre (+1,2%) sia in confronto alla fine dell'esercizio 2023 (+9,4%), confermando il ritorno a valori più fisiologici a seguito dell'attenuazione delle turbative, che nei mesi scorsi avevano afflitto le *supply chain* di alcuni componenti e materiali critici lungo tutta la filiera.

Mentre si stanno rivelando più chiari, soprattutto per gli europei, i costi di una transizione green accelerata, sia in termini economici sia sociali, la diffusione delle nuove tecnologie e in particolare di quelle che si reggono sull'uso dell'*Artificial Intelligence*, determina una crescita considerevole dei consumi elettrici. Questo, con riferimento ai settori nei quali opera LU-VE Group, genera un effetto contrapposto. Da un lato, per la transizione green, vengono ridimensionati i piani di sviluppo delle pompe di calore, dall'altro, per la pervasività dovuta al sempre più frequente utilizzo dell'AI, la crescita dei data center rappresenta una nuova e crescente linea di business.

Nel corso del primo semestre sono stati completati i lavori di ampliamento del sito produttivo cinese in linea con le tempistiche previste, che prevedono l'avvio delle attività produttive nel mese di settembre, una volta conseguite tutte le autorizzazioni necessarie e completato il collaudo delle linee produttive.

Il primo aprile, in concomitanza con la chiusura dell'esercizio fiscale locale, è stata effettuato con successo, nel pieno del rispetto dei tempi previsti, il "*roll-out*" di SAP presso lo stabilimento di indiano di Bhiwadi. Nel corso del secondo trimestre, sono proseguite le attività di integrazione. L'estensione allo stabilimento di Sarole è prevista alla fine del primo trimestre 2025.

Il 24 giugno, il CdA della Capogruppo e l'Assemblea delle controllate ha ufficialmente approvato il progetto di fusione per incorporazione in LU-VE S.p.A. delle società italiane Sest S.p.A. e Air Hex Alonte S.r.l., interamente controllate. La conclusione del progetto è prevista entro la fine di settembre ed è finalizzata alla semplificazione della struttura organizzativa del Gruppo che dovrebbe consentire una migliore efficienza gestionale e, di conseguenza, il contenimento dei costi e il miglioramento della capacità di risposta al mercato.

Nella prima metà dell'anno sono stati quasi del tutto definiti i contratti per la realizzazione dell'ampliamento dello stabilimento produttivo in Texas, detenuto dalla controllata LU-VE US Inc. L'importante revisione del piano di investimenti per gli USA (e la conseguente necessità di modificare i lay-out originariamente previsti) ha comportato uno slittamento dei tempi inizialmente ipotizzati, che dovrebbero comunque vedere il completamento dei lavori di costruzione nell'estate del 2025.

Nel corso del primo semestre è stata finalizzata l'implementazione della nuova struttura organizzativa globale, su base regionale. Il nuovo modello matriciale e la ridefinizione dei ruoli e delle deleghe operative hanno l'obiettivo di migliorare l'efficienza e la produttività complessiva e di snellire i processi aziendali del Gruppo per meglio soddisfare le esigenze degli stakeholders, garantendo un livello di servizio coerente. La nuova struttura è stata realizzata con il contributo fondamentale di ogni Cluster e Funzione, rappresentando un esempio straordinario e appassionato di lavoro di squadra.

Da segnalare anche l'ingresso del Gruppo nel settore dell'energia nucleare, con la fornitura dei sistemi di raffreddamento dei generatori diesel di emergenza EDG della centrale Hinkley Point C nel Somerset, in Inghilterra. Per dettagli si veda oltre al punto 2. Eventi successivi alla fine del periodo.

Temi ESG Nel primo semestre 2024, LU-VE Group ha proseguito le sue attività in linea con il Piano di Sostenibilità 2023-2025, approvato nel mese di febbraio 2023 da parte del CdA della Capogruppo.

> Il Piano di Sostenibilità identifica un insieme di azioni - allineate alle priorità strategiche e alla visione di sostenibilità di LU-VE Group - basato su quattro macro obiettivi principali: neutralità climatica, prodotti a impatto positivo, alto engagement dei collaboratori e sostenibilità integrata nel piano industriale.

> Tutti i target previsti nel 2023 sono stati raggiunti, mentre quelli relativi al 2024 e 2025 sono stati modificati rispetto al piano originario, in funzione dei risultati già conseguiti nel corso del 2023. Sono altresì stati identificati nuovi obiettivi con riferimento al 2026.

> Con riferimento agli obiettivi ambientali, nel 2023 LU-VE Group ha ridotto le emissioni climalteranti Scope 1 e Scope 2 del 6,39% rispetto al 2022 e si impegna di ridurle del 10% nel 2024 (rispetto la medesima baseline). Tali target di riduzione sono stati indentificati in linea con le metodologie di riduzione denominate "science-based targets".

> In materia di governance di sostenibilità, con la definizione della Politica di Remunerazione, nell'ambito degli MBO e del nuovo Piano LTI 2023-2025 proposti, è stato confermato per il secondo anno consecutivo un parametro legato alla riduzione

delle emissioni (Scope 1 e Scope 2), in aggiunta ai già presenti parametri legati agli indici infortunistici.

Sono proseguite le attività correlate alla "Tassonomia Europea per le attività ecosostenibili", con nuove attività di valutazione in merito alla gestione delle sostanze chimiche (relative al criterio tecnico "*Do No Significant Harm*" - DNSH).

Nel primo trimestre 2024 si è conclusa la prima fase della *Sustainability Ambassadors' Journey*, il programma di formazione interna a livello globale per cui sono stati selezionati 80 collaboratori, provenienti da diverse società del Gruppo e da diverse direzioni e funzioni aziendali. Gli "ambasciatori" hanno approfondito cinque tematiche chiave della sostenibilità, grazie al contributo di esperti esterni internazionali: crisi climatica, mercato dell'energia e transizione energetica, tutela dei diritti umani, promozione dell'economia circolare e comunicazione di sostenibilità trasparente e greenwashing.

Nell'ambito del *Sustainability Ambassadors' Journey*, il Gruppo ha altresì lanciato due nuove iniziative per le proprie persone: il "*Sustainability Lab*" per proporre e implementare nuovi progetti in ambito sostenibilità e il programma di "*Train the trainer*" per accelerare la formazione interna sul cambiamento climatico e conseguenti impatti ambientali e sociali.

Con riferimento all'evoluzione normativa, LU-VE Group ha attivato un insieme di attività e analisi per rispondere alle richieste della "*Corporate Sustainability Reporting Directive – CSRD*", entro la fine dell'esercizio, in accordo con gli obblighi cogenti.

La CSRD, entrata ufficialmente in vigore a inizio 2023, sostituisce la precedente "Non Financial Reporting Directive – NFRD" (Direttiva 2014/95/UE) e introduce nuovi obblighi di rendicontazione delle informazioni non finanziarie. Oltre a un ampliamento del numero di imprese coinvolte, la nuova normativa richiede una rendicontazione basata sul principio di doppia materialità, nonché un'estensione a tutte le attività connesse all'intera catena del valore a monte (upstream) e a valle (downstream).

Infine, con l'introduzione a fine 2023 del Regolamento europeo "Carbon Border Adjustment Mechanism – CBAM" che prevede la rendicontazione delle emissioni climalteranti per alcuni beni "ad alta intensità di carbonio", il Gruppo LU-VE ha operato per ottemperare prontamente agli obblighi di legge previsti dall'entrata in vigore della nuova normativa.

Ricavi I "Ricavi e proventi operativi" hanno registrato un decremento di € 23,9 milioni, pari al 7,5%, rispetto al primo semestre 2023. A cambi costanti i ricavi sarebbero stati

superiori di circa l'1%. Questo decremento è dovuto per circa lo 0,6% alla diminuzione dei prezzi di vendita e, per la rimanente parte, al calo dei volumi e al cambiamento del mix di prodotti.

Al 30 giugno 2024, i ricavi di vendita relativi ai primi 10 clienti hanno rappresentato complessivamente una percentuale del fatturato del 30,3% (in leggera crescita rispetto al primo semestre 2023), con il principale cliente che ha inciso solo per il 4,6% sul totale, confermando la non dipendenza del Gruppo, in misura significativa, da singoli contratti commerciali o industriali.

I mercati geografici Dal punto di vista della ripartizione delle vendite per aree geografiche il primo semestre 2024 ha visto l'Unione Europea scendere a una percentuale del 74,4% sul totale dei ricavi, soprattutto a causa del forte calo in Italia e in Germania, solo parzialmente compensato dalle ottime performance in altri paesi quali Polonia e Svezia. In conseguenza dell'andamento negativo del primo semestre, in Italia l'incidenza dell'export ha raggiunto l'80,6% sul totale con un fatturato pari a quasi € 236 milioni.

Il fatturato al di fuori dell'UE rappresenta il 19,4% del totale.

I segmenti di prodotto e di applicazione Al netto del forte impatto negativo dovuto allo stallo del mercato degli scambiatori per le pompe di calore, il fatturato del Gruppo ha visto una leggera crescita (+1%) con un andamento significativamente differente nelle due Business Unit. Ciò ha portato, per la prima volta nella storia del Gruppo, la SBU "Cooling Systems" a superare il fatturato della SBU "Components" raggiungendo il valore di € 148,8 milioni, con una crescita del 4,9% principalmente dovuta a nuovi progetti nel mondo dei datacenter di ultima generazione e nonostante il perdurare del rallentamento nel canale della distribuzione e una generale minor brillantezza del mercato dei progetti di dimensioni più importanti nella refrigerazione e nel condizionamento.

> Al contrario il risultato delle vendite della SBU "Components" ha subito un calo del 19% per un valore pari a € 143,9 milioni, anche se va evidenziato che, al netto del segmento delle pompe di calore, la diminuzione del fatturato sarebbe stata solo del 3% grazie alla ripresa della domanda nelle applicazioni per i banchi frigoriferi e per gli elettrodomestici.

> Riguardo al segmento degli scambiatori per pompe di calore che, come è noto, a partire dalla seconda metà del 2023 ha subito un inatteso drastico rallentamento della domanda, il forte calo delle vendite (-75% nei primi sei mesi) è stato addirittura superiore alle più pessimistiche previsioni. Il persistere delle incertezze legate al sistema degli incentivi, influenzate anche dall'attesa degli esiti delle elezioni europee, insieme agli elevati volumi di scorte di prodotti finiti tuttora presenti lungo la catena distributiva, hanno purtroppo rallentato anche il lancio delle nuove gamme di prodotti da parte di alcuni costruttori, che nelle aspettative del Gruppo avrebbero

dovuto compensare almeno parzialmente il rallentamento della domanda generale. Sebbene le previsioni per il 2024 restino piuttosto negative con riferimento a tale comparto, rimane un ottimismo di base nel medio periodo riguardo alla ripresa del mercato, poiché la sostituzione delle caldaie a gas con la tecnologia delle pompe di calore rimane uno dei punti chiave delle politiche del programma "Repower UE" nonché l'unica tecnologia per la transizione green in cui l'Unione Europea non dipende in nessuna misura né da know-how né da materiali e componenti provenienti dall'Asia e in particolare dalla Cina.

I risultati reddituali

**Il "Margine Operativo Lordo (EBITDA)"** è stato pari a € 43,0 milioni (14,5% dei ricavi) rispetto a € 41,8 milioni (13,1% dei ricavi) del primo semestre 2023. L'EBITDA adjusted del primo semestre 2023, al netto dell'impatto dei costi non rientranti nella gestione ordinaria descritti in precedenza, sarebbe stato pari a € 42,5 milioni. La variazione dell'EBITDA rispetto all'EBITDA adjusted del primo semestre 2023 (positiva per € 0,5 milioni) è generata per € 9,9 milioni alla diminuzione nei costi delle principali materie prime e degli altri costi della produzione, al netto di 2,0 milioni di Euro di diminuzione dei prezzi di vendita e di 7,4 milioni di Euro legati all'effetto volume e al cambiamento del mix di prodotti.

Il **"Risultato Operativo (EBIT)"** è pari a € 27,4 milioni (9,2% dei ricavi) rispetto a € 25,4 milioni (7,9% dei ricavi) nel primo semestre del 2023. Al netto dei costi non rientranti nella gestione ordinaria (EBIT "adjusted") del primo semestre 2023 sarebbe stato pari a € 26,1 milioni, 8,1% dei ricavi.

Il saldo dei "**Proventi e degli oneri finanziari netti** ed effetto cambi" risulta negativo per € 1,1 milioni (negativo per € 3,4 milioni nel primo semestre 2023). La differenza positiva di € 2,3 milioni è principalmente dovuta:

- i. all'impatto positivo del costo ammortizzato per € 2,8 milioni,
- ii. per € 2,5 milioni al rendimento della liquidità investita,
- iii. per € 0,4 milioni alla variazione positiva dei delta cambi,
- iv. per € 0,5 milioni dalla variazione negativa del fair value degli strumenti finanziari derivati di copertura gestionale dei finanziamenti,

v. per € 2,9 milioni dall'aumento degli oneri finanziari.

In aggiunta si segnala che all'interno della voce è stata rilevata la variazione negativa del valore dell'opzione put and call relativa all'acquisizione del restante 25% della partecipazione nella controllata Refrion S.r.l., pari a € 0,9 milioni.

Il "**Risultato prima delle imposte (EBT)"** è pari a € 26,3 milioni (8,9% dei ricavi) contro un valore di € 22,0 milioni al 30 giugno 2023 (6,9% dei ricavi). L'EBT del primo semestre 2024 normalizzato (EBT "adjusted") per la variazione negativa del valore dell'opzione put and call (€ 0,9 milioni) e per l'effetto netto della variazione positiva del fair value dei derivati e dell'impatto del costo ammortizzato (€ 1,9 milioni) sarebbe stato pari a € 25,3 milioni (8,5% dei ricavi). L'EBT del primo semestre 2023 normalizzato (EBT "adjusted") per i costi non rientranti nella gestione ordinaria (€ 0,7 milioni) e per l'effetto netto della variazione positiva del fair value dei derivati e dell'impatto del costo ammortizzato (€ 0,5 milioni) sarebbe stato pari a € 23,2 milioni (7,2% dei ricavi).

Il "**Risultato netto**" è pari a € 20,1 milioni (6,8% dei ricavi), rispetto a € 19,1 milioni del primo semestre 2023 (6,0% dei ricavi). Applicando l'effetto fiscale ai costi e ricavi non rientranti nella gestione ordinaria sopra descritti, il risultato netto del primo semestre 2024 ("Risultato netto "adjusted") sarebbe stato pari a € 19,6 milioni, 6,6% dei ricavi (lo scorso anno, € 20,0 milioni, 6,2% dei ricavi).

Il capitale circolante netto

Il capitale circolante operativo del Gruppo LU-VE (dato dalla somma delle rimanenze e dei crediti commerciali al netto dei debiti commerciali) al 30 giugno 2024 ammonta a € 105,8 milioni con un'incidenza del 17,8% sulle vendite degli ultimi 12 mesi (era pari a € 133,1 milioni al 30 giugno 2023 con un'incidenza del 21,4% sulle vendite degli ultimi 12 mesi).

Al 31 dicembre 2023 il capitale circolante operativo del Gruppo LU-VE era pari a € 103,0 milioni con un'incidenza del 16,7% sulle vendite.

Gli investimenti Le Attività non correnti al 30 giugno 2024 mostrano un incremento di € 0,8 milioni, principalmente dovuto agli investimenti netti del periodo pari a € 0,5 milioni e all'incremento delle Imposte anticipate per € 0,3 milioni. Gli investimenti del periodo ammontano a circa € 15,2 milioni di cui 6,8 milioni legati ai diritti d'uso (principalmente per il rinnovo del contratto di locazione dello stabilimento di Alonte). Circa € 4,3 milioni degli incrementi del periodo sono da considerarsi non ordinari (riferiti principalmente ad investimenti di ampliamento degli stabilimenti produttivi, con particolare riferimento a quelli effettuati in Italia, India e Repubblica Ceca).

La posizione finanziaria netta e la generazione di cassa

La posizione finanziaria netta è negativa per € 118,9 milioni (€ 126,3 milioni al 31 dicembre 2023) in miglioramento per € 7,4 milioni principalmente dovuto per € 12,4 milioni agli investimenti, per € 9,7 milioni alla distribuzione di dividendi, per € 0,9 milioni alla variazione del prezzo di esercizio della Put and call, per € 2,9 milioni all'incremento del capitale circolante operativo, per € 1,2 milioni legati alla variazione degli altri debiti e crediti ed ai derivati, per € 3,7 milioni legati all'incremento delle altre passività finanziarie (IFRS 16) al netto di € 38,2 milioni di flusso positivo della gestione.

La posizione finanziaria netta al 30 giugno 2023 era pari a € 160,2 milioni (netto miglioramento di € 41,3 milioni negli ultimi dodici mesi).

Nel periodo 1° luglio 2023 – 30 giugno 2024 il flusso di cassa della gestione rettificato delle componenti non operative è stato di circa € 72,2 milioni.

### **2. EVENTI SUCCESSIVI ALLA FINE DEL PERIODO**

Dando seguito agli accordi contrattuali in essere, nel mese di luglio LU-VE S.p.A. ha esercitato l'opzione per l'acquisto del rimanente 25% delle quote di Refrion S.r.l.. Il valore delle quote acquisite, calcolato secondo la formula contrattuale, sulla base della media dei risultati conseguiti negli ultimi due esercizi, è stato pari a € 7,4 milioni.

Il Gruppo (attraverso la controllata Refrion) ha siglato un accordo per la fornitura dei sistemi di raffreddamento dei generatori diesel di emergenza EDG della centrale Hinkley Point C nel Somerset, in Inghilterra. Il valore della commessa per LU-VE Group, sottoscritta con la Nuclear New Build Generation Company ("NNB"), attraverso il Contractor inglese Bouygues Energies & Services, è di € 27 milioni (di cui € 2 milioni già fatturati). La fornitura dei primi lotti inizierà nel 2025.

### **3. EVOLUZIONE PREVEDIBILE DELLA GESTIONE**

In considerazione della debolezza e volatilità di alcuni segmenti dei mercati di sbocco e in particolare quello delle pompe di calore, il Gruppo si attende una contrazione dei volumi di vendita alla fine dell'esercizio, ma una tenuta dei livelli di redditività grazie a tutte le azioni attuate per l'efficientamento dei processi e alla revisione dell'organizzazione a livello globale.

Infatti il mercato delle pompe di calore si conferma come l'area di maggiore sofferenza, tuttavia nel settore sono confermate le aspettative positive nel medio periodo, poiché la sostituzione delle caldaie a gas con la tecnologia delle pompe di calore rappresenta uno dei caposaldi delle politiche del programma "Repower UE", della nuova Energy Performance of Buildings Directive (EPBD) EU 2024/1275 e (unitamente a "renewables", EV e batterie) una delle "clean energy technologies" determinanti per il raggiungimento degli obiettivi di "net zero emissions", come chiaramente appare dal recente rapporto di IEA (International Energy Agency) "World Energy Outlook 2023".
