PROPOSED SUPPLEMENTARY RESOLUTION FOR THE SHAREHOLDERS' MEETING

Arco (TN), September 24, 2024 - Aquafil S.p.A. [ECNL IM], announces that it has received, pursuant to Article 126-bis, first paragraph, first sentence, of the TUF, from the shareholder Aquafin Holding S.p.A., dated September 20, 2024, a proposal to supplement the resolution with respect to the first item on the Agenda of the Extraordinary Session of the Shareholders' Meeting convened on October 10, 2024.

In particular, the proposed supplementary resolution provides that, without prejudice to all other terms of the proposal already formulated, even if the Capital Increase under option is resolved by the shareholders' meeting, the Board of Directors will not be required to execute it in whole or in part, (subject to the maximum funding limit of Euro 40,000,000 as resulting from the execution of the two capital increases), if the Board itself concludes and communicates to the market a binding subscription agreement with a Third Party Investor that is not subject to conditions other than the resolution of the Delegated Capital Increase and the approval, where necessary, of the prospectus by Consob and the listing of the relevant shares.

The Illustrative Report integrated with the aforementioned proposed supplementary resolution, received from the shareholder Aquafin Holding S.p.A. in accordance with the law, is available to the public at the Company's registered office, on the Company's website (www.aquafil.com) pursuant to Article 126-bis, paragraph 4, of the TUF and in the manner prescribed by the TUF and the Issuers' Regulations.

Accordingly, in order to allow voting on this proposal by the Designated Representative, the Company will publish on its website, within the terms provided by law, an integrated proxy form with the new proposal. Within the same terms the absentee ballot form integrated with the new proposal will be published.

Aquafil is a pioneer in the circular economy also thanks to the ECONYL® regeneration system, an innovative and sustainable process able to create new products from waste and give life to an endless cycle. The nylon waste is collected in locations all over the world and includes industrial waste but also products – such as fishing nets and rugs – that have reached the end of their useful life. Such waste is processed to obtain a raw material – caprolactam – with the same chemical and performance characteristics as those from fossil sources. The polymers produced from ECONYL® caprolactam are distributed to the Group's production plants, where they are transformed into yarn for rugs carpet flooring and for clothing.
