Servizi Italia S.p.A.: modification of the financial events calendar 2024 and identification of the advisors for the evaluation of the voluntary total takeover bid promoted by Cometa S.r.l.

Servizi Italia S.p.A. ("Servizi Italia" or the "Company") - in compliance with Article 2.6.2, paragraph 1, letter b), of the Regulation of Markets organised and managed by Borsa Italiana S.p.A, hereby announces that the Board of Directors of the Company, having acknowledged the filing on 8 October 2024 of the offer document pursuant to Article 102, paragraph 1, of the TUF and Article 37-ter of the Regulation on Issuers within the framework of the voluntary public tender offer promoted on 7 October 2024 by Cometa S.r.l. (the "Offeror"), a company wholly owned by the controlling shareholder Aurum S.p.A. (in turn wholly owned by Coopservice Soc. coop. p.A.), on all the ordinary shares of Servizi Italia, after deducting the ordinary shares held by the controlling shareholder Aurum S.p.A. and the treasury shares held by the Company (the "Offer") - has resolved to amend the Company's Financial Events Calendar, bringing forward to 7 November 2024 the Board meeting called to approve the additional periodic Report as at 30.09.2024 (originally scheduled for 14 November 2024).
It should also be noted that the independent directors of the Company, meeting today under the coordination of the Lead Independent Director, Benedetta Pinna, at the end of the selection procedure promptly activated, have identified Equita SIM S.p.A. as independent financial advisor to support them in the evaluations on the Offer and on the appropriateness of the consideration for the purpose of issuing their reasoned opinion pursuant to Article 39-bis of the Issuers' Regulation.
The Board of Directors of the Company, having acknowledged the appointment entrusted by the independent directors, has decided not to avail itself of further independent experts other than the advisor Equita SIM S.p.A. for the purpose of the assessments on the Offer and on the fairness of the consideration pursuant to Article 103 of the TUF and Article 39 of the Regulation on Issuers, considering that the advisor in question has the professional skills necessary to express a qualified evaluation and also considering that the selection process carried out by the independent directors provides adequate guarantees of independence and third party status.
It is also noted that the Independent Directors and the Board of Directors have identified GLG & Partners as legal advisor for the purpose of issuing the opinion pursuant to Article 39-bis of the Regulation on Issuers and the issuer's press release pursuant to Article 103 of the Consolidated Law on Finance and Article 39 of the Regulation on Issuers.
