RELATECH: APPROVED THE MERGER BY INCORPORATION OF GRUPPO SIGLA S.R.L., IOT CATALYST S.R.L., ITHEA S.R.L. AND DIALOG SISTEMI S.R.L., IN RELATECH S.P.A.

Milan, 15th of October 2024

Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company listed on the Euronext Growth Milan market (Ticker: RLT), following up on its announcement dated October 1, 2024, informs that today the shareholders' meetings of Gruppo SIGLA S.r.l., IoT Catalyst S.r.l, Ithea S.r.l. and Dialog Sistemi S.r.l. (collectively, the "Incorporated Companies"), wholly owned subsidiaries of Relatech S.p.A. ("Relatech" or the "Incorporating Company"), meeting in notarial session, approved the merger by incorporation into the Merging Company (the "Merger").

The decision regarding the Merger for Relatech, as provided for by the Articles of Association, was taken by the Board of Directors meeting in notarial session also on today's date, as the circumstance provided for under Article 2505, paragraph 3, of the Italian Civil Code had not occurred.

It should be recalled that, since the Merging Companies are wholly and directly controlled by Relatech, the simplified merger procedure set forth in Article 2505 of the Italian Civil Code applies and, therefore, on the effective date of the Merger, the shares representing the share capital of the Merging Companies will be cancelled without exchange.

Consequently, Relatech will not make any changes in its share capital.

The minutes of the meetings of the Merging Companies and of the Board of Directors of the Merging Company, drawn up in the form of a public deed, will be made available to the public at the Company's registered office and on Relatech's website www.relatech.com, Investor Relations/Corporate Documents section, within the time limits prescribed by applicable laws and regulations.
