TITOLO: Aggiornamenti sulla Strategia di Finanziamento per gli Anni 2025 e 2026.

Trattative in corso per accesso a forme di finanziamento ordinarie alternative con obiettivo di evitare l'utilizzo del bond convertibile e l'esercizio delle ulteriori tranche ad esso associate.

17 Ottobre 2024 – Mondo Tv annuncia che sta attualmente valutando e conducendo trattative per colmare il proprio fabbisogno finanziario attraverso forme di finanziamento alternative al bond convertibile per gli anni 2025 e 2026.

Questa strategia consentirebbe alla Società non solo di evitare l'esercizio delle ulteriori tranche del Bond Convertibile previste dal piano in essere con CLG e quindi di focalizzarci sulla sola chiusura delle conversioni relative alle tranches già esercitate, ma anche prevenire ulteriori diluizioni del capitale sociale conseguenti all'emissione di nuove azioni.

L'obiettivo della Società sarebbe di completare questa transizione entro la fine dell'anno.

Riteniamo che questa decisione possa essere fondamentale per garantire non solo un adeguato supporto finanziario per le attività future dell'azienda ma anche per ottimizzare sia la flessibilità finanziaria sia la struttura di capitale.

TITLE: Updates on the Financing Strategy for the Years 2025 and 2026.

Ongoing negotiations for access to alternative ordinary financing forms with the aim of avoiding the use of the convertible bond and the exercise of the additional tranches associated with it.

October 17, 2024 – Mondo Tv announces that it is currently evaluating and conducting negotiations to fill its financial needs through alternative forms of financing to the convertible bond for the years 2025 and 2026.

This strategy would allow the Company not only to avoid the exercise of the additional tranches of the Convertible Bond provided for in the plan in place with CLG and therefore to focus only on the closure of the conversions relating to the tranches already exercised, but also to prevent further dilution of the share capital resulting from the issuance of new shares.

The Company's objective would be to complete this transition by the end of the year.

We believe this decision will be instrumental in ensuring not only adequate financial support for the company's future operations but also in optimizing both its financial flexibility and capital structure.
