ASSEMBLEA PORTATORI DI WARRANT IN SECONDA CONVOCAZIONE

Torino (TO), 17 ottobre 2024 - OSAI Automation System S.p.A. S.B. (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, rende noto che l'Assemblea dei Portatori dei "Warrant Osai A.S. S.p.A. 2020-2025" riunitasi in seconda convocazione oggi alle ore 11:00 è andata deserta, per mancanza del quorum costitutivo minimo necessario.

Al riguardo, si precisa che le deliberazioni assunte dall'Assemblea degli Azionisti del 15 ottobre 2024 relative alla modifica del Regolamento dei "WARRANT OSAI A.S. S.P.A. 2020-2025", subordinate all'approvazione del nuovo Regolamento dei Warrant da parte dell'assemblea dei portatori dei "Warrant OSAI A.S. S.p.A. 2020-2025", sono quindi da intendersi, alla data odierna e in mancanza di una deliberazione in tal senso da parte dell'Assemblea dei Portatori di Warrant, prive di efficacia. Pertanto, le caratteristiche dei "WARRANT OSAI A.S. S.P.A. 2020-2025" e il relativo regolamento rimangono immutati.

Il Verbale dell'Assemblea sarà messo a disposizione del pubblico sul sito internet della Società all'indirizzo https://osai-as.com/investor-relations/warrant alla sezione Warrant/Assemblea portatori di warrant 15 ottobre 2024.

MEETING OF WARRANT HOLDERS IN SECOND CALL

Turin, October 17th, 2024 –Osai Automation System S.p.A. Benefit Company (Ticker: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that the Shareholders' Meeting of the "Osai A.S. S.p.A. 2020-2025 Warrants", which met in second call today at 11:00 a.m., was cancelled due to the lack of the minimum constitutive quorum required.

In this regard, it should be noted that the resolutions passed by the Shareholders' Meeting of 15 October 2024 relating to the amendment of the "WARRANT OSAI A.S. S.P.A. 2020-2025" regulations, subject to the approval of the new Warrant Regulations by the shareholders' meeting of the 'Warrant OSAI A.S. S.p.A. 2020-2025', are therefore to be considered, as of today's date and in the absence of a resolution to this effect by the Warrant Holders' Meeting, ineffective. Therefore, the characteristics of the 'WARRANT OSAI A.S. S.P.A. 2020-2025' and the related regulations remain unchanged.

The Minutes of the Shareholders' Meeting will be made available to the public on the Company's website at https://osai-as.com/investor-relations/warrant in the Warrants/Shareholders' Meeting section of 15 October 2024.
