## **AVVISO DI CONVOCAZIONE DI ASSEMBLEA ORDINARIA E STRAORDINARIA**

L'Assemblea degli Azionisti di A.B.P. Nocivelli S.p.A. è convocata in sede ordinaria e straordinaria per il giorno **28 ottobre 2024 alle ore 10.00** in prima convocazione, presso lo Studio del Notaio, Enrico Lera, in Brescia, via San Zeno n. 99/A, e, occorrendo, per il giorno 30 ottobre 2024, stessa ora e luogo, in seconda convocazione, per discutere e deliberare sul seguente

## **LEGITTIMAZIONE ALL'INTERVENTO E AL VOTO**

Ai sensi dell'art. 83-sexies del TUF, la legittimazione all'intervento in Assemblea e all'esercizio del diritto di voto è attestata da una comunicazione alla Società, effettuata dall'intermediario, sulla base delle evidenze delle proprie scritture contabili relative al termine della giornata contabile del settimo giorno di mercato aperto precedente alla data fissata per l'Assemblea in prima convocazione (ossia il 17 ottobre 2024 – *record date*). Le registrazioni in accredito e in addebito compiute sui conti successivamente a tale termine non rilevano ai fini della legittimazione all'esercizio del voto in Assemblea; pertanto, coloro che risulteranno titolari delle azioni della Società solo successivamente a tale data non saranno legittimati ad intervenire e votare in Assemblea. La comunicazione dell'intermediario dovrà pervenire alla Società entro la fine del terzo giorno di mercato aperto precedente la data fissata per l'Assemblea in prima convocazione (ossia entro il 23 ottobre 2024). La comunicazione alla Società è effettuata dall'intermediario su richiesta del soggetto a cui spetta il diritto di voto.

# **RAPPRESENTANZA IN ASSEMBLEA**

I legittimati ad intervenire in Assemblea possono farsi rappresentare mediante delega scritta, nel rispetto della normativa vigente. A tal fine sul sito internet della Società all'indirizzo www.abpnocivelli.com, Sezione Investor Relations, è disponibile l'apposito modello di delega assembleare. La delega dovrà essere notificata in via elettronica secondo le modalità infra indicate.

# **MODALITÀ DI INTERVENTO IN ASSEMBLEA**

Conformemente alle previsioni dell'art. 8.16 dello Statuto, gli aventi diritto potranno intervenire in Assemblea esclusivamente mediante l'utilizzo di sistemi di collegamento a distanza (audio o videoconferenza) che consentano la loro identificazione, nel rispetto delle disposizioni vigenti e applicabili.

I soci o i loro delegati che intendano intervenire all'Assemblea, al fine di ottenere le credenziali che consentano loro di partecipare alla videoconferenza, dovranno inviare via e-mail, entro le ore 12:00 del 24 ottobre 2024, apposita richiesta all'indirizzo PEC abpnocivelli@pecserviziotitoli.it allegando: copia di un valido documento di identità del soggetto che interviene in proprio o per delega/rappresentanza; eventuale documentazione comprovante i poteri di rappresentanza del soggetto che interviene per conto di una persona giuridica; eventuale modulo di delega debitamente compilato e sottoscritto dal socio delegante unitamente al suo documento di identità.

La Società provvederà a comunicare al medesimo indirizzo e-mail da cui proviene la suddetta documentazione le credenziali per la partecipazione all'Assemblea in videoconferenza dei soggetti che l'abbiano richiesta e per i quali sia pervenuta anche la comunicazione di legittimazione da parte dell'intermediario. Non saranno accreditati a intervenire all'Assemblea i soggetti che non abbiano compiutamente adempiuto alle prescrizioni di cui sopra.

Gli amministratori ed i sindaci potranno intervenire con le modalità che verranno comunicate individualmente.

## **CAPITALE SOCIALE E DIRITTI DI VOTO**

Il capitale sociale sottoscritto e versato è pari ad Euro 1.138.000,00, suddiviso in n. 30.450.000 azioni ordinarie senza indicazione del valore nominale, ciascuna delle quali dà diritto ad un voto in Assemblea. La Società non detiene azioni proprie.

La documentazione relativa all'Assemblea prevista dalla normativa vigente e il presente avviso di convocazione sono messi a disposizione del pubblico presso la sede legale e sul sito internet della Società www.abpnocivelli.com (Sezione "*Investor relations*" – "*Assemblee Azionisti*"), nei termini di legge. Gli Azionisti hanno facoltà di ottenerne copia.

*Il Gruppo Nocivelli ABP è stato fondato a Castegnato (Brescia) nel 1963 e ha inizialmente operato nel commercio di prodotti petroliferi e lubrificanti. Dal 1988 ha diversificato la propria attività specializzandosi nella realizzazione di impianti tecnologici, meccanici ed elettrici, nella costruzione di opere edili, civili e industriali e nel Facility Management. Il Gruppo Nocivelli è composto dalla capogruppo ABP Nocivelli S.p.A. e dalla controllata (al 100%) RPP srl Run Power Plants, acquisita nel 2016, specializzata nella progettazione, realizzazione, fornitura, installazione e manutenzione di illuminazione LED. Il Gruppo ha la sede principale a Castegnato (BS) ed è presente con sedi operative a Brescia, Chieti Scalo e Ponderano (Biella). RPP ha sede a Castenedolo (BS). Bruno Nocivelli è il Presidente del Consiglio di Amministrazione, mentre Nicola Turra ricopre il ruolo di Amministratore Delegato. Al 30 giugno 2024 i dati d'esercizio del gruppo hanno riportato un Valore della Produzione pari a 76,5 milioni di Euro, con un EBITDA pari a 15,2 milioni di Euro e un utile netto di 10,7 milioni di Euro.*

Nocivelli S.p.A.**, an Esco Company specialized in building technological systems and facility management services, and a nationwide Public-Private Partnership clinic and hospital construction leader, listed on the Euronext Growth Milan's segment (ISIN Code IT0005439861, Ticker ABP:IM), announces the publication today of the call notice for the Shareholders' Meeting called, in ordinary and extra-ordinary session, for **October 28, 2024**, on the company website at www.abpnocivelli.com, Investor Relations/Governance section, and in extract in the daily newspaper Italia Oggi.

Nocivelli S.p.A. is called in **ordinary and extra-ordinary session for October 28, 2024 at 10AM** in first call at the office of Notary Enrico Lera, in Brescia, via San Zeno No. 99/A, and, where required, for October 30, 2024, at the same time and place, in second call, to discuss and consider the following

- 1. Approval of the financial statements at June 30, 2024 of the Company; review of the reports of the Board of Directors, the Board of Statutory Auditors' Report and the Independent Auditors' Report. Resolutions thereon;
- 2. Allocation of the result for the year. Resolutions thereon;
- 3. Presentation of the Group's consolidated financial statements at June 30, 2024. Resolutions thereon;

In accordance with Article 83-sexies of the CFA, the right to attend and vote at the Shareholders' Meeting is conferred on the basis of a communication sent to the Company

from an intermediary, in accordance with the accounting records at the end of the seventh trading day before the date set for the Shareholders' Meeting in first call (i.e. October 17, 2024, the "record date"). Debits and credits to the relevant accounts subsequent to this date do not affect the right to vote at the Shareholders' Meeting; therefore, those holding company shares only subsequent to this date shall not be entitled to attend and vote at the Shareholders' Meeting. The communication from the intermediary must be received by the Company by the end of the third trading day before the Shareholders' Meeting is held in first call (i.e. October 23, 2024). Communication to the Company is carried out by the intermediary on the request of those with the right to vote.

# **REPRESENTATION AT THE SHAREHOLDERS' MEETING**

All those with the right to attend the Shareholders' Meeting can be represented by written proxy in accordance with applicable regulations. For this purpose, the proxy form for the Shareholders' Meeting is available on the Company's website at www.abpnocivelli.com, in the Investor Relations section. The proxy must be notified electronically in the manner indicated below.

# **MEANS TO ATTEND THE SHAREHOLDERS' MEETING**

In accordance with the provisions of Article 8.16 of the By-Laws, those entitled to attend the Shareholders' Meeting may only do so through the use of remote connection systems (audio or video conferencing) that enable their identification, in compliance with current and applicable regulations. Shareholders or their proxies who wish to attend the Shareholders' Meeting, in order to obtain the credentials to participate in the videoconference, must send by e-mail by 12PM on October 24, 2024, a special request to the PEC (registered email) address [abpnocivelli@pecserviziotitoli.it](mailto:abpnocivelli@pecserviziotitoli.it) attaching: a copy of a valid identity document of the person attending in person or by proxy/representation; any documentation proving the powers of representation of the person attending on behalf of a legal entity; any proxy form duly completed and signed by the principal together with his/her identity document. The Company will notify the same email address from which the aforementioned documentation originates of the credentials for participation in the Shareholders' Meeting by videoconference of those persons requesting such and for whom the notice declaring the right to participate from the intermediary has also been received. Those who have not fully complied with the above requirements will not be accredited to attend the Shareholders' Meeting. Directors and Statutory Auditors may contribute in the manner that will be directly communicated to each of them.

# **SHARE CAPITAL AND VOTING RIGHTS**

The subscribed and paid-in share capital is Euro 1,138,000.00, divided into 30,450,000 ordinary shares with no indication of par value, each of which entitles the holder to one vote at the Shareholders' Meeting. The Company does not hold treasury shares.
