Notice of deposit

Pesaro, 8 October 2024 – We inform that today we made available to the public the minutes, prepared as notarial act, of the Biesse S.p.A. Board of Directors' meeting called to deliberate on the partial demerger of GMM S.p.A. in favor of Biesse S.p.A. according to the article 2502 of Codice Civile, as quoted by the article 2506 ter of Codice Civile.

In line with our press release of 30 July 2024, we confirm that, contextually to the completion of the demerger, the merger by incorporation of Forvet S.p.A. Costruzione Macchine Speciali in Bavelloni S.p.A. will be achieved, as approved by the Extraordinary Shareholder Meetings of the two companies held on 13 September 2024.

The minutes of the approval of the partial demerger has been published on the company website www.biesse.com - Governance and Investitor area - and on the authorized storage site .
