# **Nocivelli ABP, approvati i risultati dell'esercizio 23-24: crescono Valore della Produzione (Euro 76,5 milioni) e Utile Netto (Euro 10,7 milioni). Backlog sale a 850 milioni di Euro**

Nocivelli S.p.A., Esco Company leader del settore nelle operazioni di Partenariato Pubblico Privato per la realizzazione di strutture sanitarie e ospedaliere, quotata nel segmento Euronext Growth Milan (Codice ISIN IT0005439861, Ticker ABP:IM), riunitosi sotto la Presidenza di Bruno Nocivelli, ha approvato il progetto di bilancio di esercizio e ha esaminato il bilancio consolidato per l'esercizio chiuso al 30 giugno 2024.

**Nicola Turra, Amministratore Delegato di Nocivelli ABP**, ha commentato: *"Siamo soddisfatti dell'andamento complessivo dell'azienda. Il pacchetto di progetti legati al PNRR sta progredendo, con un ulteriore sviluppo atteso nei prossimi due esercizi e l'inizio di alcuni lavori fissato per il secondo semestre del 2025. Anche il settore dei servizi sta mostrando segnali di ripresa, con la nostra partecipazione a numerose gare d'appalto, un'opportunità di crescita interessante. I risultati finanziari sono in linea con le previsioni e siamo fiduciosi di poter affrontare serenamente i prossimi esercizi, grazie alla solidità del nostro portafoglio ordini. La produzione sul mercato sta migliorando, consentendoci di ampliare ulteriormente la nostra presenza. I contratti con le Pubbliche Amministrazioni rimangono stabili e sicuri. Infatti, nonostante un lieve calo dei ricavi dovuto ai ritardi nell'avvio delle progettazioni e alla diminuzione dei costi del gas, l'EBITDA si mantiene solido, garantendo una buona marginalità nonostante le difficoltà legate ai costi delle materie prime".*

## **PRINCIPALI RISULTATI ECONOMICO-FINANZIARI CONSOLIDATI AL 30 GIUGNO 2024**

Il **Valore della Produzione** è pari a Euro 76,5 milioni (Euro 75,1 milioni al 30 giugno 2023).

I **ricavi delle vendite** risultano pari a Euro 71,1 milioni (Euro 73,9 milioni al 30 giugno 2023). I fattori che hanno portato alla leggera flessione dei ricavi sono riconducibili principalmente al ritardo da parte di alcune Pubbliche Amministrazioni nell'approvazione della progettazione necessaria per avviare le opere previste da commesse rilevanti, provocando così uno slittamento delle lavorazioni.

I **Costi delle materie** pari a Euro 16,0 milioni rispetto agli 16,8 milioni al 30 giugno 2023.

I **Costi per servizi** pari a Euro 38,0 milioni registrano un lieve incremento rispetto a Euro 37,3 milioni circa al 30 giugno 2023.

I **Costi del Personale** ammontano a Euro 4,9 milioni, pressoché in linea con i costi sostenuti al 30 giugno 2023 (Euro 4,7 milioni).

**Il Margine Operativo Lordo (EBITDA)** è pari a Euro 15,2 milioni rispetto al 30 giugno 2024 (Euro 15,3 milioni). L'EBITDA Margin si attesta al 19,9% confermando un trend di redditività positiva (20,4% al 30 giugno 2023), trainata da un portafoglio di ordini a lungo termine nel settore dei servizi energetici e di manutenzione.

**Il Margine Operativo Netto (EBIT)** è pari a Euro 13,0 milioni (EBIT Margin pari al **17,0%**), in leggera diminuzione rispetto al 30 giugno 2023 (Euro 13,4 milioni).

**L'Utile Netto**, pari a Euro 10,7 milioni, con un'incidenza sul Valore della Produzione pari al 14,0%, registra un incremento dell'1,0% rispetto al 30 giugno 2023 (Euro 10,6 milioni), evidenziando una crescita costante e confermando la solidità del modello di business.

Il **Patrimonio Netto,** pari a Euro 72,0 milioni, è in crescita rispetto ai 62,8 milioni al 30 giugno 2023, confermando una eccellente solidità del Gruppo.

**La Posizione Finanziaria Netta** rimane stabilmente *cash positive* e pari a Euro 47,7 milioni (*cash positive* per Euro 40,1 milioni al 30 giugno 2023), a conferma della stabilità finanziaria dell'azienda, che si distingue per la capacità di operare e crescere senza fare ricorso all'indebitamento.

# **BACKLOG**

Sulla base dei dati gestionali disponibili, al 30 giugno 2024, il portafoglio ordini del Gruppo risulta pari a **Euro 850 milioni circa** (non comprensivo del fatturato consolidato al 30 giugno 2024) per un arco temporale di 10 anni. Il portafoglio ordini risulta composto esclusivamente da commesse già contrattualizzate e di lunga durata, quali Concessioni Pubbliche e contratti di durata pluriennale: tali commesse garantiscono alla Società di raggiungere un **flusso di entrate costante, con una solida redditività e generazione di cassa**.

## **PRINCIPALI RISULTATI ECONOMICO-FINANZIARI DELLA CAPOGRUPPO ABP NOCIVELLI S.P.A. AL 30 GIUGNO 2024**

Il **Valore della Produzione** è pari a Euro 75,8 milioni (Euro 74,2 milioni al 30 giugno 2023), con un incremento del 2%.

L'**EBITDA** è pari a Euro 15,1 milioni, +1,3% (Euro 14,9 milioni al 30 giugno 2023). L'EBITDA Margin è al 19,9%. L'**EBIT** si attesta a Euro 13,0 milioni (Euro 13,1 milioni al 30 giugno 2023), confermando una buona marginalità rispetto al fatturato.

L'**Utile Netto** è pari a Euro 10,6 milioni (Euro 10,3 milioni al 30 giugno 2023).

La **Posizione Finanziaria Netta** è *cash positive* per Euro 46,5 milioni, con un notevole incremento (+20,8%) rispetto all'esercizio precedente (*cash positive* per Euro 38,5 milioni al 30 giugno 2023). Tale variazione va attribuita alla normalizzazione degli incassi.

Il **Patrimonio netto** è pari a Euro 69,7 milioni (Euro 60,6 milioni al 30 giugno 2023).

# **FATTI DI RILIEVO AVVENUTI DOPO LA CHIUSURA DELL'ESERCIZIO**

Ad agosto, Nocivelli ABP ha elaborato il suo primo **Report di Sostenibilità**. La Società ha adottato diverse azioni volte alla tutela dell'ambiente e al contenimento dell'inquinamento e si è dotata della **Certificazione UNI EN ISO 14001: 20015** atta a dimostrare che il proprio sistema di gestione è adeguato e tiene sotto controllo gli impatti ambientali delle proprie attività, ricercando sistematicamente il miglioramento. La Società **promuove l'utilizzo di fonti energetiche rinnovabili** e pratiche di efficienza energetica per perseguire una crescita sostenibile e rispettosa dell'ambiente. Nel corso del biennio oggetto del Report, **i consumi energetici sono diminuiti dell'8%** (-7% gasolio, -17% energia elettrica). Per il prossimo futuro Nocivelli ABP ha deciso di intraprendere il percorso per il conseguimento della certificazione UNI ISO 37001 per la **"Gestione e la Prevenzione della Corruzione**" e della UNIPDR 125 per la "**Parità di Genere**". La strategia aziendale è orientata a investire maggiormente anche a livello ambientale attraverso **l'estensione dell'impianto fotovoltaico** presente in azienda e una progressiva sostituzione della flotta aziendale in favore di mezzi elettrici. Infine, continua l'impegno per la progressiva **cessazione della business unit dei prodotti petroliferi**, con una previsione della relativa conclusione nel **biennio 2025-2026**.

Il **23 settembre 2024** Nocivelli ABP ha comunicato l'aggiudicazione di alcune gare Terna e di un contratto per l'esecuzione di opere impiantistiche nell'ambito della realizzazione del tratto ferroviario per l'Aeroporto di Malpensa, per un totale di circa 20 milioni di Euro. Nello specifico, per quanto riguarda le **gare di Terna**, Nocivelli ABP si è aggiudicata tre gare per **un totale di circa 8 milioni di Euro**. La Società ha inoltre ottenuto da SALC S.p.A. **l'affidamento dei lavori impiantistici e tecnologici** nell'ambito della commessa per la realizzazione del collegamento ferroviario tra la Ferrovia T2 Malpensa e la linea RFI del Sempione, per **un valore di circa 12 milioni di euro**. I lavori saranno eseguiti nei prossimi due esercizi.

### **EVOLUZIONE PREVEDIBILE DELLA GESTIONE**

Nocivelli ABP prevede anche per i prossimi esercizi una **solida redditività aziendale**. Le attività industriali, commerciali e i servizi erogati **continuano regolarmente**, rispettando le previsioni e garantendo una redditività costante. Questo dipenderà anche dall'evoluzione del panorama macroeconomico.

La Capogruppo **partecipa attivamente alle principali gare d'appalto**, con particolare attenzione a quelle relative alla riqualificazione delle **strutture sanitarie e ospedaliere**, che necessitano di interventi di ammodernamento a causa della loro vetustà, ad esempio l'adeguamento a normative antisismiche e di prevenzione incendi. Inoltre è stata completata la rinegoziazione di alcuni contratti aggiudicati prima della crisi sanitaria e sono già stati avviati i lavori, che si concluderanno nei prossimi due esercizi.

Nocivelli ABP, ormai accreditata come **Fornitore di Terna S.p.A.** con un plafond di 25 milioni di euro, si è aggiudicata lavori per circa 7 milioni di euro e continua a partecipare a nuove gare indette da Terna S.p.A. Inoltre, la Capogruppo ha ottenuto la qualifica di Fornitore per altre società partecipate dallo Stato, come **Enel S.p.A., RFI S.p.A. e Leonardo S.p.A**., per progetti di riqualificazione energetica, e continua il suo percorso per l'ottenimento di status di Fornitore per altre società partecipate dallo Stato.

Nell'ambito della gara per il **Parco della Salute, della Ricerca e dell'Innovazione della Città di Torino**, in RTI con il Consorzio SIS, la Capogruppo ha presentato un'offerta lo scorso aprile, risultando al momento l'unico partecipante. La fase istruttoria è in corso e si prevede la conclusione entro il 31 dicembre 2024.

# **PROPOSTA DI DESTINAZIONE DEL RISULTATO D'ESERCIZIO**

Il Consiglio di Amministrazione ha deliberato di proporre all'Assemblea degli Azionisti la seguente destinazione dell'utile di esercizio, pari a Euro 10.633.410,00:

- Euro 1.827.000 a **dividendo**, pari ad **Euro 0,06 per azione**;

- Euro 8.806.410 a **riserva straordinaria**.

## **CONVOCAZIONE ASSEMBLEA ORDINARIA E STRAORDINARIA DEI SOCI E DEPOSITO DELLA DOCUMENTAZIONE**

Il Consiglio di Amministrazione ha deliberato di convocare l'Assemblea Ordinaria e Straordinaria dei Soci per il **28 ottobre 2024**, e, all'occorrenza, in data, agli orari che verranno comunicati nel relativo avviso di convocazione che sarà pubblicato con le modalità e i termini previsti dalla normativa e dai regolamenti applicabili.

L'Avviso di convocazione dell'Assemblea, che sarà pubblicato entro i termini di legge e di statuto, indicherà, altresì, le modalità di partecipazione all'adunanza assembleare. Nocivelli S.p.A., an Esco Company specialized in building technological systems and facility management services, and a nationwide Public-Private Partnership clinic and hospital construction leader, listed on the Euronext Growth Milan's segment (ISIN Code IT0005439861, Ticker ABP:IM), in a meeting today chaired by Bruno Nocivelli, has approved the statutory financial statements and reviewed the consolidated financial statements for the financial year ending June 30, 2024.

**Nicola Turra, Chief Executive Officer of Nocivelli ABP**, stated: *"We are satisfied with the overall performance of the company. The package of NRRP (National Recovery and Resilience Plan) related projects is progressing, with further development expected over the next two financial years and the start of a number of works set for the second half of 2025. The services sector is also showing signs of recovery, with our participation in many tenders, which presents an interesting growth opportunity. The financial results are in line with forecasts and we expect to face into the coming years confidently, thanks to the solidity of our backlog. Production on the market is improving, allowing us to further extend our presence. The contracts with the Public Sector entities remain stable and secure. In fact, despite a slight drop in revenues due to the delayed start-up of planning and the reduction in the cost of gas, EBITDA has remained solid, ensuring a strong margin despite the difficulties related to raw material costs".*

# **FY 23/24 CONSOLIDATED HIGHLIGHTS**

**Value of Production** of Euro 76.5 million (Euro 75.1 million in FY 22/23).

**Sales revenues** totaled Euro 71.1 million (Euro 73.9 million in FY 22/23). The slight decrease in revenues mainly stems from the delay by a number of Public Sector bodies in approving the planning necessary to begin the works covered by the relative orders, resulting therefore in a postponement to the works.

**Material costs** amounted to Euro 16.0 million, compared to Euro 16.8 million in FY 22/23.

**Service costs** of Euro 38.0 million increased slightly on approx. Euro 37.3 million in FY 22/23.

**Personnel expense** amounted to Euro 4.9 million, almost in line with the costs incurred in FY 22/23 (Euro 4.7 million).

**EBITDA** was Euro 15.2 million, compared to Euro 15.3 million in FY 22/23. The EBITDA Margin was 19.9%, confirming the upwards profitability trend(20.4% in FY 22/23), driven by the long-term backlog in the energy services and maintenance sector.

**EBIT** of Euro 13.0 million (EBIT Margin **17.0%**) slightly decreased on FY 22/23 (Euro 13.4 million).

**The Net Profit** of Euro 10.7 million (14.0% of the Value of Production) increased 1.0% on FY 22/23 (Euro 10.6 million), highlighting the continued growth and confirming the solidity of the business model.

**Shareholders' equity** of Euro 72.0 million rose on Euro 62.8 million at June 30, 2023, confirming the Group's excellent solidity.

**The Net Financial Position** remained steadily cash positive at Euro 47.7 million (cash positive for Euro 40.1 million at June 30, 2023), confirming the financial stability of the company, which is noted for its ability to operate and grow without the use of debt.

### **BACKLOG**

Based on the available management figures, at June 30, 2024 the Group backlog was **approx. Euro 850 million** (not included in the consolidated revenues for FY 23/24) for a 10-year time period. The backlog exclusively comprises already contracted long-term orders, such as Public Concessions and long-term contracts: these orders guarantee the company **continuous cash inflows, with solid profitability and cash generation.**

### **PARENT COMPANY ABP NOCIVELLI S.P.A. FY 23/24 KEY FINANCIAL HIGHLIGHTS**

**Value of Production** of Euro 75.8 million (Euro 74.2 million in FY 22/23), increasing 2%.

**EBITDA** was Euro 15.1 million, +1.3% (Euro 14.9 million in FY 22/23). The EBITDA Margin is 19.9%. **EBIT** amounts to Euro 13.0 million (Euro 13.1 million in FY 22/23), confirming the strong revenue margin.

**Net Profit** of Euro 10.6 million (Euro 10.3 million in FY 22/23).

The **Net Financial Position** is cash positive for Euro 46.5 million, with a significant increase (+20.8%) compared to the previous year (cash positive for Euro 38.5 million at June 30, 2023). These changes are due to the normalization of receipts.

**Shareholders**' **equity** of Euro 69.7 million (Euro 60.6 million at June 30, 2023).

# **SUBSEQUENT EVENTS**

Nocivelli ABP drew up its first **Sustainability Report** in August. The Company has taken various actions to protect the environment and contain pollution and has obtained **UNI EN ISO 14001: 20015 Certification** to demonstrate that its management system is adequate and keeps the environmental impacts of its activities under control, while systematically seeking to improve its performance. The Company **promotes the use of renewable energy** sources and energy efficiency practices to pursue sustainable and environmentally-friendly growth. During the two-year reporting period, **energy consumption decreased by 8%** (-7% diesel, -17% electricity). For the near-term, Nocivelli ABP has decided to work towards achieving UNI ISO 37001 certification for the **"Management and Prevention of Corruption"** and UNIPDR 125 for "**Gender Equality**". The company strategy is also geared towards investing more in the environment through the **extension of the photovoltaic system** at the company, and a gradual replacement of the company fleet with electric vehicles. Finally, the commitment to **phase out the petroleum products business unit continues**, with the expectation of its conclusion in the **2025-2026 two-year period.**

On **September 23, 2024,** Nocivelli ABP announced the award of several Terna tenders and a contract for the execution of plant engineering works as part of the construction of the railway section for the Malpensa Airport, for a total of approx. Euro 20 million. Specifically, with regard to **Terna's tenders**, Nocivelli ABP was awarded three tenders for **a total of approx. Euro 8 million.** The company was also awarded by SALC S.p.A. **the contract for plant engineering and technological works** as part of the order for the construction of the railway link between the T2 Malpensa railway and the RFI Sempione line, for **a value of approx. Euro 12 million.** The work will be carried out over the next two financial years.

# **OUTLOOK**

Nocivelli ABP also forecasts **solid profitability** for the coming years. The industrial and commercial activities and services provided **continue on schedule**, meeting forecasts and ensuring consistent profitability. This will also depend on the development of the macroeconomic environment.

The parent company **actively participates in major tenders**, with a particular focus on those related to the upgrading of **health and hospital facilities**, which require modernization due to their age, e.g., upgrading to anti-seismic and fire prevention regulations. In addition, the renegotiation of

a number of contracts awarded before the health crisis has been completed and work has already started, which will be completed over the next two financial years.

Nocivelli ABP, now accredited as a **Supplier of Terna S.p.A.** with a ceiling of Euro 25 million, has been awarded works worth approx. Euro 7 million and continues to participate in new Terna S.p.A. tenders. In addition, the parent company has obtained the status of Supplier for other state-owned companies, such as **Enel S.p.A., RFI S.p.A. and Leonardo S.p.A.,** for energy upgrading projects, and continues on the path to obtain Supplier status for other state-owned companies.

In terms of the tender for the **Health, Research and Innovation Park of the City of Turin**, as part of an RTI (temporary consortium) with the SIS Consortium, the parent company submitted a bid last April and is currently the only participant. The preliminary investigation phase is ongoing and is expected to be concluded by December 31, 2024.

## **PROPOSAL FOR THE ALLOCATION OF THE NET PROFIT FOR THE YEAR**

The Board of Directors approved the proposal to the Shareholders' Meeting for the following allocation of the net profit of Euro 10,633,410.00:

- Euro 1,827,000 as **dividend**, equal to **Euro 0.06 per share;**
- Euro 8,806,410 to the **extraordinary reserve.**

In 1988 it diversified into the construction of technological, mechanical and electrical systems, in addition to civil and industrial construction and Facility Management. The Nocivelli Group comprises the parent company ABP Nocivelli S.p.A. and the wholly-owned subsidiary RPP srl Run Power Plants, acquired in 2016, specializing in the design, manufacture, supply, installation and maintenance of LED lighting. The Group is headquartered in Castegnato (BS) and has operations in Brescia, Chieti Scalo and Ponderano (Biella). RPP is based in Castenedolo (BS). Bruno Nocivelli is the Chairperson of the Board of Directors, while Nicola Turra serves as Chief Executive Officer. The Group's Value of Production in 2024 was Euro 76.5 million, with EBITDA of Euro 15.2 million and a net profit of Euro 10.7 million.*
