Eni: attività Congo, società e management respingono accuse di condotte illecite supportati da indagini indipendenti

San Donato Milanese (MI), 26 settembre 2019 – Eni comunica che oggi, 26 settembre 2019, l'amministratore delegato Claudio Descalzi ha ricevuto un avviso di garanzia da parte della Procura di Milano avente ad oggetto l'ipotesi di omessa comunicazione di conflitto di interessi ex art. 2629 bis del codice civile in relazione ai rapporti di Eni Congo S.A. con il gruppo Petroservice.

La Società, in relazione al reato ipotizzato a carico del dott. Descalzi, ribadisce di avere già da tempo concluso approfondite analisi (durate circa un anno) affidate dai propri organi di controllo (Comitato Controllo Rischi e Collegio Sindacale) a consulenti terzi e indipendenti (legali e tecnici) e che tali indagini hanno escluso che vi siano state violazioni o condotte in favore e/o a danno di Eni, volte ad avvantaggiare i fornitori aggiudicatari dei servizi in particolare il gruppo Petroservice, per ciò che attiene alle circostanze oggetto di indagine. Le analisi effettuate confermano che tali aggiudicazioni al gruppo Petroservice si sono svolte in ambiti competitivi e nel sostanziale rispetto delle procedure di approvvigionamento vigenti. Tali verifiche, infine, sono state messe a disposizione della magistratura inquirente nell'ambito della usuale collaborazione.

L'amministratore delegato di Eni, Claudio Descalzi, ha commentato: "contesto fermamente l'accusa che viene ipotizzata a mio carico. È priva di fondamento. Le transazioni tra Eni Congo e il gruppo Petroservice non sono mai state oggetto di mie valutazioni o decisioni in quanto totalmente estranee al mio ruolo. Tengo inoltre a sottolineare che, se mi fossi trovato in una qualunque situazione di conflitto di interesse, o ne avessi avuto conoscenza, non avrei esitato a dichiararlo come è previsto dalle procedure aziendali di Eni e dalla legge. Ho l'assoluta certezza di avere sempre operato correttamente, in modo lecito, nell'interesse dell'azienda e dei suoi azionisti. Riuscirò a dimostrarlo oltre ogni ragionevole dubbio".

Eni refutes allegations of illegal conduct in Congo, supported by independent investigation

San Donato Milanese (MI), 26 September 2019 – Eni confirms that today, 26 September 2019, the company's Chief Executive Officer, Claudio Descalzi, received a warranty notice by the Prosecution office in Milan, Italy, alleging that Mr. Descalzi did not disclose – as per art. 2629 bis of the Italian Civil Code – a potential conflict of interest with regards to the relations between Eni Congo S.A. and the group Petroservice.

With reference to the accusation against Mr. Descalzi, the Company reaffirms that it has already concluded thorough investigations (over about a year), which were outsourced by its controlling committees (Control and Risk Committee and the Board of Statutory Auditors), to independent, third-party consultants (legal and technical). These investigations have excluded any breaches and behaviours in favour or against Eni, aimed at benefitting service suppliers (and in particular Petroservice, for the relevance of this case.)

The investigations undertaken confirm that the tenders won by Petroservice took place within a competitive framework and in substantial respect of the existing tendering procedures.

Furthermore, the conclusions of these investigations have been shared with the Prosecutors, within the framework of routine cooperation.

Eni's Chief Executive Officer, Claudio Descalzi, said: "I firmly reject the alleged accusation. It is without any foundation. The transactions between Eni Congo and the company Petroservice were never the subject of my consideration and decision, as fully outside my role. Furthermore, I would like to underline that, had I found myself, or had been aware of being, in a situation of conflict of interest, I would have not had any problem to disclose it, as required by Eni's procedures and the law. I am totally certain that I have always behaved lawfully, in an honest way, in the interest of the Company and of its shareholders. I am confident I will be able to demonstrate that, beyond any reasonable doubt".
