CONVERSIONE DELLA SECONDA TRANCHE (25%) DELLE AZIONI SPECIALI IN AZIONI ORDINARIE E CONSEGUENTE VARIAZIONE DELLA COMPOSIZIONE DEL CAPITALE SOCIALE

In data odierna, il Consiglio di Amministrazione di Fine Foods & Pharmaceuticals N.T.M. S.p.A. ("Fine Foods" o la "Società") ha, tra l'altro, accertato che si sono verificate le condizioni previste dal dall'articolo 6.4 dello Statuto per la conversione automatica della seconda tranche di Azioni Speciali, i cui valori soglia di cui al punto d.(ii) (A) del medesimo articolo dello Statuto, in conseguenza dell'emissione gratuita della seconda tranche di Warrant Innova Italy 1 S.p.A. (ora Warrant Fine Foods N.T.M. S.p.A.)1 , sono rispettivamente i seguenti: Euro 10,4564, Euro 11,4069 e Euro 12,3575.
Ai sensi della sopra richiamata disposizione statutaria, le n. 50.000 Azioni Speciali sono convertite nel rapporto di n. 6 Azioni Ordinarie ogni n. 1 Azione Speciale detenuta, e, pertanto, in complessive n. 300.000 Azioni Ordinarie Fine Foods di nuova emissione, senza modifica dell'ammontare complessivo del capitale sociale.
La nuova composizione del capitale sociale di Fine Foods & Pharmaceuticals N.T.M. S.p.A. è pertanto la seguente:

Si ricorda inoltre che, sempre per effetto dell'emissione gratuita della seconda tranche di Warrant Innova Italy 1 S.p.A. (ora Warrant Fine Foods N.T.M. S.p.A.)2 sono stati rettificati come segue i seguenti valori del Warrant Soci Originari Fine Foods: Prezzo Strike 100% pari a Euro 12,3575, Prezzo Strike 75% pari a Euro 9,0305, Prezzo Strike 25% pari a Euro 13,3081, Prezzo Soglia pari a Euro 12,3575, Prezzo di Sottoscrizione pari a Euro 0,0951. Il Rapporto di Esercizio sarà automaticamente aggiornato applicando i valori così rettificati nella relativa formula.
Con riferimento ai Warrant Fine Foods & Pharmaceuticals N.T.M. S.p.A. negoziati su AIM Italia non trova applicazione, nel caso di specie, alcuna rettifica, come esplicitato al penultimo capoverso dell'art. 2 del relativo regolamento ove è precisato che l'assegnazione del secondo Warrant non è considerata un'operazione straordinaria ai sensi all'art. 4 del regolamento dei Warrant Fine Foods & Pharmaceuticals N.T.M. S.p.A.

CONVERSION OF THE SECOND TRANCHE (25%) OF SPECIAL SHARES INTO ORDINARY SHARES AND CHANGE IN THE SHARE CAPITAL COMPOSITION

Today, the Board of Directors of Fine Foods & Pharmaceuticals N.T.M. S.p.A. ("Fine Foods" or the "Company") has ascertained that the conditions provided for by article 6.4 of the Articles of Association for the automatic conversion of the second tranche of Special Shares have been met. The threshold values of these shares are set out in point d.(ii) (A) of the same Articles of Association article, following the free issue of the second tranche of Innova Italy 1 S.p.A. Warrants (now Fine Foods N.T.M. S.p.A. Warrants)3 , are: Euro 10.4564, Euro 11.4069 and Euro 12.3575.
Under the above Articles of Association, 50,000 Special Shares are converted into a ratio of six Ordinary Shares for every single Special Share held. This means 300,000 new Fine Foods Ordinary Shares being issued without changing the share capital total amount.

It should be noted that as a result of the free issue of the second tranche of Innova Italy 1 S.p.A. Warrants (now Fine Foods N.T.M. S.p.A. Warrants)4 the following values of the Original Fine Foods Shareholders Warrant have been adjusted as follows: 100% Strike Price of Euro 12.3575, 75% Strike Price of Euro 9.0305, 25% Strike Price of Euro 13.3081, Threshold Price of Euro 12.3575, Subscription Price of Euro 0.0951. The Exercise Ratio will be automatically updated by applying the adjusted values in the relevant formula.
No adjustment is applied to Fine Foods & Pharmaceuticals N.T.M. S.p.A. Warrants negotiated on AIM Italia as explained in the penultimate paragraph of Article 2 of the relevant regulation. Here it is specified that the assignment of the second Warrant is not considered an extraordinary transaction under Article 4 of the Fine Foods & Pharmaceuticals N.T.M. S.p.A. Warrants regulation.
