Precisazione in merito alle modalità di messa a disposizione del pubblico della documentazione assembleare

Milano, 30 marzo 2020: In seguito all'entrata in vigore del Decreto del Presidente del Consiglio dei Ministri del 22 marzo 2020 recante "Ulteriori disposizioni attuative del decreto-legge 23 febbraio 2020, n. 6, recante misure urgenti in materia di contenimento e gestione dell'emergenza epidemiologica da COVID-19, applicabili sull'intero territorio nazionale" e dell'Ordinanza n. 515 della Regione Lombardia del 22 marzo 2020 recante "Ulteriori misure per la prevenzione e gestione dell'emergenza epidemiologica da COVID-19", Saras S.p.A. (la "Società") ha temporaneamente chiuso al pubblico, sino a nuova determinazione, gli uffici della propria sede amministrativa di Milano, Galleria Passarella 2.

Si precisa pertanto che la relazione sulle materie all'ordine del giorno ai sensi dell'art. 125-ter del Decreto Legislativo 24 febbraio 1998, n. 58, la relazione finanziaria annuale corredata dalle relazioni del collegio sindacale e della società di revisione, nonché l'ulteriore documentazione sulle materie all'ordine del giorno dell'assemblea sarà messa a disposizione del pubblico presso la sede legale, sul sito internet e con le altre modalità previste dalle vigenti disposizioni ma non sarà invece disponibile presso la sede amministrativa.

Clarification concerning the availability to the public of the Shareholders' Meeting documentation

Milan, 30th March 2020: Following the enter into force of the Prime Minister Decree of 22nd March containing "Further implementing measures of Legislative Decree n. 6 of 23rd February 2020, containing urgent measures to contain and manage the epidemic emergency caused by COVID-19, applicable in the whole national territory" and Ordinance n. 515 of Lombardy Region of 22nd March 2020 containing "further preventive measures and manage of the epidemic emergency caused by COVID-19", Saras S.p.A. (the "Company) temporarily closed to the public, until further notice, the Administrative offices in Milan, Galleria Passarella 2.

It is also specified that the report on the items on the agenda in accordance with article 125-ter of legislative decree no. 58 of 24 February 1998, the Annual Report together with the Board of the Statutory Auditors' Report, the Independent Auditors' Reports and the additional documentation on the Shareholders' Meeting Agenda will be made available to the public from the registered office of the Company, from the website and from other means determined by regulations in force but will not be available from the Administrative Office.
