AVVISO DI DEPOSITO DOCUMENTAZIONE PER L'ASSEMBLEA DEGLI AZIONISTI

S.p.A. comunica che in data odierna, secondo i termini stabiliti dall'art. 2429 del Codice Civile, è stata depositata presso la sede legale della Società in Zingonia-Verdellino (BG), Via Berlino n. 39 la seguente documentazione, relativa all'ordine del giorno dell'Assemblea ordinaria degli azionisti convocata per il giorno 30 aprile 2020 alle ore 10:00 in prima convocazione (come da avviso pubblicato sul quotidiano Il Sole24Ore in data 15 aprile 2020):

• La Relazione Finanziaria Annuale al 31 dicembre 2019, costituita da: progetto di Bilancio d'esercizio al 31 dicembre 2019 corredato della Relazione degli Amministratori sulla Gestione, Relazione del Collegio Sindacale sul Bilancio d'esercizio al 31 dicembre 2019 e Relazione della Società di Revisione relativa al Bilancio d'esercizio al 31 dicembre 2019
• La relazione illustrativa degli amministratori sugli argomenti all'ordine del giorno di detta Assemblea.
• Il regolamento dei lavori assembleari.
• La proposta motivata del Collegio Sindacale in merito al conferimento dell'incarico di revisione legale dei conti per gli esercizi dal 2020 al 2028.

S.p.A. announces that today, under article 2429 of the Italian Civil Code, the following documents relating to the agenda of the Ordinary Shareholders' Meeting, convened on 30 April 2020, at 10 am, on the first call (as published in the daily newspaper Il Sole24Ore on 15 April 2020) have been filed at the Company's registered office in Zingonia-Verdellino (BG), Via Berlino 39:

The 31 December 2019 Annual Financial Report, consisting of:

the 31 December 2019 Draft Financial Statements, the Directors' Annual Report, Report of the Board of Statutory Auditors and of the Auditing Company on the 31 December 2019 Financial Statements

• The Directors' explanatory report on the agenda items of the Shareholders' Meeting.
• Shareholders' Meeting Regulations.
• The reasoned proposal of the Board of Statutory Auditors concerning the appointment of the audit firm for the financial years from 2020 to 2028.
