DIMISSIONI SINDACO EFFETTIVO

Il Dott. Paolo Prandi, Sindaco effettivo, in data odierna, ha rassegnato le proprie dimissioni dall'incarico con efficacia dall'approvazione del bilancio d'esercizio di Fine Foods N.T.M. S.p.A. al 31 dicembre 2019. Tali dimissioni sono motivate da sopravvenuti impegni di carattere professionale. Si ricorda che l'approvazione del bilancio d'esercizio al 31 dicembre 2019 è uno dei punti all'ordine del giorno dell'Assemblea ordinaria degli Azionisti di Fine Foods N.T.M. S.p.A. che si terrà il giorno 30 aprile 2020 alle ore 10:00 in prima convocazione.

L'Assemblea ordinaria degli Azionisti, convocata per il 30 aprile 2020, integrerà il collegio sindacale per ripristinare il numero di 5 componenti tra sindaci effettivi e supplenti. A tal proposito, il giorno 20 aprile 2020, sarà pubblicato nella Sezione "Investor Relations – Assemblee" del sito internet della Società e per estratto sul quotidiano Il Sole24Ore l'integrazione all'Avviso di convocazione dell'Assemblea Ordinaria pubblicato il giorno 15 aprile 2020, nonché la documentazione integrativa ed i nuovi Moduli Delega.

RESIGNATION OF STATUTORY AUDITORS

Paolo Prandi, member of the board of Statutory Auditors resigned with effect from the approval of the Financial Statements of Fine Foods N.T.M. S.p.A. as at 31 December 2019. These resignations are motivated by subsequent professional commitments. It should be remembered that the approval of the Financial Statements as of 31 December 2019 is one of the items on the agenda of the ordinary Shareholders' Meeting of Fine Foods N.T.M. S.p.A. to be held on April 30, 2020 at 10:00 on first call.

The ordinary Shareholders' Meeting, convened for 30 April 2020, will integrate the Board of Statutory Auditors to restore the number of 5 members. In this regard, on April 20, 2020, it will be published in the "Investor Relations - Shareholders 'Meetings" section of the Company's website and extracted from the newspaper Il Sole24Ore, the addition to the Notice of call of the Ordinary Shareholders' Meeting published on April 15, 2020, as well as the supplementary documentation and the new Proxy Forms.
