WARRANT AZIONI ORDINARIE TIP S.P.A. 2015/2020

apertura del quinto periodo di esercizio – giugno 2020

I portatori dei "Warrant Azioni Ordinarie TIP S.p.A. 2015 – 2020", codice ISIN n. IT0005121444 (i "Warrant") potranno richiederne l'esercizio a decorrere dal 1 giugno 2020 e fino al 30 giugno 2020, termini iniziale e finale compresi (il "Quinto Periodo di Esercizio"), per ciascun giorno di mercato aperto, con diritto di sottoscrivere ulteriori azioni ordinarie Tamburi Investment Partners S.p.A. ("TIP") di nuova emissione, ammesse alla quotazione sul Mercato Telematico Azionario organizzato e gestito da Borsa Italiana S.p.A., prive dell'indicazione del valore nominale, aventi godimento regolare e le medesime caratteristiche delle azioni ordinarie TIP in circolazione alla data di emissione (le "Azioni di Compendio"), in ragione di n. 1 Azione di compendio TIP ogni Warrant esercitato.

Le richieste di sottoscrizione dovranno essere presentate all'intermediario aderente al sistema di amministrazione accentrata di Monte Titoli S.p.A. presso il quale i Warrant sono depositati.

Il prezzo di esercizio dei Warrant relativamente al Quinto Periodo di Esercizio è pari ad euro 5,41 (cinque virgola quarantuno) per ciascuna Azione di Compendio.

L'esercizio dei Warrant avrà effetto entro il decimo giorno di Borsa aperta a decorrere dalla scadenza del Quinto Periodo di Esercizio.

Non è previsto che durante il Quinto Periodo di Esercizio si verifichino eventi idonei a determinare la sospensione della facoltà di esercizio, ai sensi dell'articolo 2) VIII del Regolamento dei Warrant.

TIP S.P.A. ORDINARY SHARES WARRANTS 2015 /2020

COMMENCEMENT OF THE FIFTH EXERCISE PERIOD – JUNE 2020

The holders of "TIP S.p.A. Ordinary Shares Warrants 2015 - 2020", ISIN code n. IT0005121444 (the "Warrants") may apply for their Warrants to be exercised starting from June 1, 2020 until June 30, 2020, both dates included (the "Fifth Exercise Period"), on each open market day, with the right to subscribe additional newly issued Tamburi Investment Partners S.p.A. ("TIP") ordinary shares admitted to trading on the MTA market organized and managed by Borsa Italiana S.p.A., without nominal value and having regular enjoyment rights and the same features of TIP ordinary shares outstanding at the issue date (the "Conversion Shares"), in the ratio of 1 Conversion Share for each Warrants exercised.

Applications for subscription must be made to the broker belonging to the Monte Titoli S.p.A. centralized administration system with whom the Warrants are deposited.

The exercise price set for the conversion of the Warrants referred to the Fifth Exercise Period is Euro 5.40 (five point forty one) for each Conversion Share.

The exercise of the Warrants will be effective within the tenth open day of the stock exchange following the end of the Fifth Exercise Period.

No events are planned for the Fifth Exercise Period that may cause the suspension of the exercise right pursuant to article 2) VIII of the Warrant Regulations.
