Rome, 9 July 2020– Today's meeting of Atlantia SpA's Board of Directors, chaired by Fabio Cerchiai, pursuant to art. 3.2 of the Company's Corporate Governance Code, has carried out the periodic assessment of the independence requirements, set out both in Italy's Consolidated Financial Act and in the Corporate Governance Code, for the following Directors: Andrea Boitani, Riccardo Bruno, Mara Anna Rita Caverni, Cristina De Benetti, Dario Frigerio, Gioia Ghezzi, Giuseppe Guizzi, Anna Chiara Invernizzi, Carlo Malacarne, Ferdinando Nelli Feroci and Licia Soncini.
The Board of Statutory Auditors in a meeting held on the same date, has, therefore, verified, pursuant to art. 15, paragraph 7 of the Company's Corporate Governance Code, the correct application of the criteria and procedures adopted by the Board of Directors for assessing the independence of the Directors.
At the end of the Board of Directors's meeting Mrs Mara Anna Rita Caverni, Independent and non - executive Director of Atlantia S.p.A., also in charge of the Internal Control and Risk Management System and member of the Internal Control, Risk and Corporate Governance Committee has notified to the Company her resignation as a member of the Board of Directors and from the other offices held with effect from 31 July 2020 due to personal and professional commitments occurred.
Mrs Caverni wished to thank the Chairman, the Chief Executive Officer and the whole Board of Directors for the rich and interesting experience, full of intense professional exchanges, occurred

so far, being also thankful towards all the managers she has the chance to directly work with for the cooperative and supportive approach.
On behalf of the Board of Directors and Board of Statutory Auditors, the Company wishes to thank Mrs. Caverni for the work performed with high commitment and great professionalism during her mandate.
As of today, as per the Company's knowledge Mrs. Caverni does not own Atlantia's shares.
