Pre-Annual General Meeting Information • Oct 26, 2020

PRESS RELEASE

Milan, October 26th , 2020 – Digital Bros Group ("the Company"), which is listed on the STAR segment of Borsa Italiana (DIB:MI) and operates in the videogames market, announces that majors shareholders Abramo Galante and Raffaele Galante – in reference to points 3 and 4.3 of the Agenda of the Ordinary Shareholders' Meeting convened for October 28th, 2020 – have submitted for approval by the Shareholders' Meeting the following resolutions:

(a) In reference to point 3 (appointment of the new Board of Directors) of the Agenda:

3.1 – to appoint nine members to the Board of Directors;

3.2 – to appoint the new Board of Directors for the three-year period 2021-2023 and therefore up until the approval of the Financial Statements for the fiscal year ending June 30th, 2023;

3.4 – to appoint Abramo Galante as Chairman;

3.5 – to determine, until a new resolution, a total annual remuneration of the Board of Directors of Euro 1,200,000.00 - in addition to all documented expenses as required by art. 23 of the Articles of Association – leaving the Board to share the total amount between the members.

• (b) In reference to point 4.3 (determination of the annual remuneration of the Board of Statutory Auditors' members) of the Agenda:
• to determine the annual gross remuneration of the Chairman of the Board of Statutory Auditors in Euro 27,000.00 and the annual gross remuneration of each Statutory Auditor in Euro 22,000.00.
