CONFIRMATION OF RESPONSIBLE PERSONS

Referring to the provisions of the Article 21 of the Law on Securities of the Republic of Lithuania and the Rules for the Drawing up and Submission of the Periodic and Additional Information of the Securities Commission of the Republic of Lithuania, we, the undersigned Virgilijus Poderys, Chief Executive Officer, Remigijus Vainius, Director of Finance and Law Department and Tatjana Didikiene, Chief Financier of LITGRID AB (before March 14, 2011 the name of the company was LITGRID Turtas AB), hereby confirm that, to the best of our knowledge, the consolidated financial statements of LITGRID Turtas AB for the financial year 2010 are prepared in accordance with the International Financial Reporting Standards adopted by the European Union, give a true and fair view of the LITGRID Turtas AB and consolidated group assets, liabilities, financial position, profit and cash flows for the relevant period, the Consolidated Annual Report includes a fair review of the development and performance of the business and the position of the LITGRID Turtas AB and consolidated position of group of companies, together with a description of the principal risks and uncertainties that it faces.
