FINE FOODS AVVIA L'ITER DI PASSAGGIO AL MERCATO MTA (EVENTUALMENTE SEGMENTO STAR)

Fine Foods & Pharmaceuticals N.T.M. S.p.A., società quotata su AIM Italia, facendo seguito a quanto già comunicato nel documento informativo relativo alla fusione per incorporazione di Fine Foods & Pharmaceuticals N.T.M. S.p.A. in Innova Italy 1 S.p.A. e nel comunicato stampa del 4 maggio 2020, comunica che in data odierna il Consiglio di Amministrazione ha deliberato di avviare le attività relative al passaggio dalla negoziazione dei propri strumenti finanziari su AIM Italia alla ammissione a quotazione degli stessi sul Mercato Telematico Azionario (MTA), organizzato e gestito da Borsa Italiana, eventualmente segmento STAR. Ricorrendone le condizioni l'operazione sarà sottoposta all'approvazione dell'Assemblea degli azionisti per la presentazione delle relative domande a Consob e Borsa Italiana S.p.A. nel corso del primo semestre del 2021.

La Società ha conferito a Banca Akros S.p.A. l'incarico di Sponsor per il passaggio al mercato MTA (eventualmente segmento STAR).

FINE FOODS STARTS THE MTA MARKET TRANSLISTING PROCESS (POSSIBLY STAR SEGMENT)

Fine Foods & Pharmaceuticals N.T.M. S.p.A., listed on AIM Italia, following what has already been reported in the prospectus relating to the merger by incorporation of Fine Foods & Pharmaceuticals N.T.M. S.p.A. into Innova Italy 1 S.p.A. and on the press release as of 4 May 2020, announces that today the Board of Directors decided that it will start the translisting process. This involves the passage from trading its financial instruments on AIM Italia to a listing on the Mercato Telematico Azionario – MTA (Italian Equities Market), organised and managed by Borsa Italiana, and possibly adhering to the STAR segment. If the conditions are met, the transaction will be submitted for approval to the Shareholders' Meeting to allow for application submission to Consob and Borsa Italiana S.p.A. during the first half of 2021.

The Company has appointed Banca Akros S.p.A. as MTA market translisting Sponsor (possibly adhering to the STAR segment).

Fine Foods Chairman and CEO Marco Francesco Eigenmann, said: "Today we start the process of listing the Company's shares on MTA, following a procedure planned and announced during the business combination, and publicly stated several times. The serious world pandemic has only slowed down this listing process and today's announcement confirms this.
