RECORDATI: PUBLIC DISCLOSURE

Milan, 29th December 2020 – Please be informed that as of today, pursuant to Article 125-quater of the Legislative Decree 58/98, the minutes of the Extraordinary Shareholders' Meeting held on 17th December 2020 are available to the public on the Company's website (www.recordati.it, in the area "Investors", section "Shareholders' Meetings – Reverse Merger into Recordati S.p.A. 2020/2021") and on the storage mechanism (). At the aforementioned meeting, the Shareholders approved the merger by incorporation of Fimei S.p.A. and Rossini Investimenti S.p.A. into Recordati S.p.A..

On 28th December 2020, the above-mentioned minutes were also registered with the Companies' Register of Milan.
