TIM: ACTIVITIES ARE PROCEEDING FOR PRESENTATION OF A SLATE FOR THE RENEWAL OF THE BOARD OF DIRECTORS

The Board of Directors has approved the candidate selection criteria

Rome, 3 February 2021

The TIM Board of Directors, chaired by Salvatore Rossi, met today to examine, among the other items on the agenda, the selection criteria for candidates to be included in the slate which it intends to submit in view of the renewal on 31 March next.

In accordance with the procedure approved on 20 January (available for consultation at link), the Chairman reported on the results of the preliminary survey of shareholders and market representatives, which noted support from Vivendi and market representatives for the initiative, while Cassa Depositi e Prestiti reserved in relation to the need to submit all decisions to be made in this regard to its Board of Directors. The Chairman also presented the outcome of the initial analysis performed with the advisor Egon Zehnder, then laying out the proposed selection criteria to be applied when preparing the slate. Having obtained the favourable opinion of the Nomination and Remuneration Committee, the Board of Directors unanimously approved the document containing the proposal, then sent to Egon Zehnder to start the search.

The next board meeting will be on Thursday 18 February.
