BANCA SISTEMA: PROSECUZIONE INCARICO LIQUIDITY PROVIDER

Milano, 12 febbraio 2021

Si informa che l'incarico di liquidity provider svolto da Intermonte SIM, intermediario indipendente che negozia in nome proprio le azioni di Banca Sistema per il sostegno alla liquidità del titolo, avviato il 13 novembre 2018, prorogato il 12 novembre 2019 ed il 13 febbraio 2020, è stato ulteriormente prorogato fino all'11 febbraio 2022 alle condizioni già illustrate nel comunicato stampa pubblicato il 13 novembre del 2018 e richiamate nei successivi comunicati stampa pubblicati il 12 novembre 2019 e il 13 febbraio 2020.

In particolare, il programma prevede l'esposizione in conto proprio di proposte di negoziazione in acquisto e/o in vendita di azioni di Banca Sistema (titoli illiquidi ai sensi all'articolo 22 del Regolamento (CE) n. 1287/2006 della Comissione), sul Mercato Telematico Azionario regolamentato e gestito da Borsa Italiana S.p.A., al fine di favorire il regolare svolgimento delle negoziazioni ed evitare movimenti dei prezzi non in linea con l'andamento del mercato.

Intermonte SIM acquisterà e venderà per conto della Banca nei seguenti limiti operativi definiti tra le parti:

• − i limiti massimi per le posizioni aperte in acquisto o in vendita sono pari rispettivamente a massimi euro 300.000 determinati sulla base del mark to market delle azioni o 150.000 azioni (nonché limiti diversi che potrebbero essere determinati di volta in volta), detenibili da Intermonte SIM ogni giorno nel periodo di validità del contratto;
• − la Banca si impegna, alla scadenza di ciascun trimestre, a corrispondere a Intermonte SIM le eventuali minusvalenze dalla stessa realizzate, nell'ambito dell'esecuzione dell'incarico, nella misura comuque non superiore a euro 15.000 su base mensile. Qualora, invece, l'attività generasse una plusvalenza, l'Intermediario sarà tenuto a versare trimestralmente a Banca Sistema il 50% di tale importo.

BANCA SISTEMA: EXTENSION LIQUIDITY PROVIDER ACTIVITY

Milan, 12 February 2021

We herewith announce that appointment as liquidity provider of Intermonte SIM, an independent broker which trades Banca Sistema stockson its own name to support stock liquidity, started on 13 November 2018 and extended on 12 November 2019, 13 February 2020, and furthermore up to 11 February 2022, at the conditions showed in the press release published on 13 November 2018, related to the start of the appointment, and referred in the press releases published on 12 November 2019 and 13 February 2020.

In particular, the liquidity program will make offers to buy and/or sell Banca Sistema shares (illiquid shares according to the art. 22 of the Commission Regulation (EC) No 1287/2006) on its own account on the MTA (Mercato Telematico Azionario), a regulated market managed by Borsa Italiana S.p.A., to favor the regular trading of the stock and avoid price movements that are not in line with market conditions. Intermonte SIM will purchase and sell on behalf of the Bank within the following operational limits agreed by the parties:

• − ceiling for open buy or sell positions equal to either max. euro 300,000, based on the Shares' markto-market, or 150,000 shares (or other limits that may be defined from time to time), that may be held by Intermonte each day during the term of the contract;
• − the Bank at the end of each quarter undertakes to pay any capital loss incurred by Intermonte SIM in performing the assignment, for an amount no greater than euro 15,000 per month. In the event that trades realize a capital gain, the broker shall return 50% of the amount to Banca Sistema quarterly.
