COMUNICAZIONE AI SENSI DELL'ARTICOLO 84-BIS, COMMA 5°, LETTERA A) DEL REGOLAMENTO ADOTTATO CON DELIBERA CONSOB N. 11971 DEL 14 MAGGIO 1999 E SUCCESSIVE MODIFICHE
Tamburi Investment Partners S.p.A. ("TIP"-tip.mi) – investment / merchant bank indipendente quotata al segmento STAR di Borsa Italiana S.p.A., con riferimento al piano di stock option rivolto a dipendenti e amministratori esecutivi del gruppo denominato "Piano di Incentivazione TIP 2014/2021" approvato dall'assemblea della Società in data 9 aprile 2014 e parzialmente modificato in data 29 aprile 2016, i cui termini, condizioni e modalità di attuazione sono stati deliberati dal Consiglio di Amministrazione in data 7 settembre 2016 (rispettivamente, il "Piano" ed il "Regolamento") e aggiornati in data 14 maggio 2019, ricordato che:
- (i) il Piano prevede l'attribuzione gratuita di massime n. 7.000.000 opzioni (ciascuna una "Opzione" e collettivamente le "Opzioni") a dipendenti, amministratori e/o collaboratori, individuati - a insindacabile e discrezionale giudizio del Consiglio di Amministrazione - tra i soggetti che ricoprano o svolgano ruoli o funzioni strategicamente rilevanti in, o per, il gruppo e per i quali si giustifichi un'azione che ne rafforzi la fidelizzazione in un'ottica di creazione di valore (i '"Beneficiari");
- (ii) ai sensi del Piano tutte le massime n. 7.000.000 (settemilioni) opzioni oggetto del Piano, sono assegnabili anche in tranche, gratuite e non trasferibili inter vivos, ciascuna delle quali attributiva del diritto per i Beneficiari di diritto di acquistare 1 (una) azione propria della Società da questa detenuta in portafoglio al prezzo, alle condizioni, con le modalità e nei termini stabiliti dal Regolamento. E' peraltro facoltà del Consiglio di Amministrazione soddisfare, a proprio discrezionale e insindacabile giudizio, la richiesta di esercizio formulata da singoli Beneficiari mediante regolamento in denaro, e quindi mediante la liquidazione al relativo Beneficiario di una somma pari all'eventuale capital gain calcolato alla data di esercizio di ciascuna Opzione esercitabile.
- (iii) il Piano si sviluppa su un orizzonte temporale di 5 anni (esercizi dal 2017 al 2021) e prevede la facoltà di esercitare le Opzioni divenute esercitabili in un periodo compreso tra il 1° gennaio 2017 (o la diversa data stabilita dal Consiglio di Amministrazione) e il 31 dicembre 2021 (o il diverso successivo termine stabilito dal Consiglio di Amministrazione);
- (iv) il regolamento del Piano prevede che, in caso di cessazione della carica di amministratore o del rapporto di lavoro subordinato o di collaborazione in essere tra la Società e il Beneficiario, decadono le Opzioni precedentemente assegnate a quest'ultimo e ancora non esercitate alla data di cessazione del rapporto;
rende noto che in data 15 marzo 2021 si è proceduto ad una assegnazione di Opzioni a valere sul Piano ed in particolare sono state assegnate complessive n. 3.500.000 (tremilionicinquecentomila) Opzioni agli amministratori esecutivi e ai dipendenti come indicato nelle tabelle allegate al presente comunicato. Con la presente assegnazione risultano assegnate tutte le n. 7.000.000 opzioni previste dal Piano.

COMMUNICATION PURSUANT TO ARTICLE 84-BIS, PARAGRAPH 5, LETTER A) OF THE REGULATION ADOPTED BY CONSOB RESOLUTION NUMBER 11971 OF MAY 14, 1999 AND SUBSEQUENT MODIFICATIONS
Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), an independent and diversified investment/merchant bank listed on STAR segment of Borsa Italiana S.p.A., with reference to the stock option plan addressed to the group employees and executive directors denominated "TIP 2014/2021 Incentive Plan", approved by the Shareholders' Meeting as at April 9, 2014 and partially modified as at April 29, 2016, whose terms, conditions and procedures for implementation were resolved by the Board of Directors as at September 7, 2016 and updated on May 14, 2019 (respectively, the "Plan" and the "Regulation") reminded that:
- (i) the Plan provides for the awarding at no cost of up to n. 7,000,000 (seven million) options (each of them "Option" and together the "Options") to employees and executive directors, identified - at incontestable and discretionary decision of the Board of Directors - among the individuals that cover or serve roles or functions strategically relevant in, or for, the group and for which is justified an action aimed at strengthening the loyalty in a value creation perspective (the "Beneficiaries");
- (ii) pursuant to the Plan, all the maximum no. 7,000,000 (seven million) Options covered by the Plan are allocable by tranches, at no cost, and non-transferable inter vivos, each of which assigns the right for the Beneficiaries to purchase 1 (one) own share of the Company held by it in its portfolio at the price, under the conditions, in the manner and within the terms established by the Regulations. Furthermore, the Board of Directors has the right to satisfy, at its own discretion and unquestionable judgment, the exercise request formulated by individual Beneficiaries by means of cash settlement, and therefore by means of the payment to the relevant Beneficiary of a sum equal to any capital gain calculated on the date exercise of each exercisable Option;
- (iii) the Regulation provides for the right to exercise the Options become exercisable in a period between January l, 2017 (or the different date established by the Board of Directors) and December 31, 2021 (or the different and subsequent term established by the Board of Directors;
- (iv) the Regulation of the Plan provides that, in the event of termination of the office of director or of the employment relationship or collaboration existing between the Company and the Beneficiary, the Options previously assigned to the latter and not yet exercised at the date of termination of the relationship lapse;
announces that on March 15, 2021 an assignment of Options available under the Plan was made and, in particular, they have been assigned n. 3,500,000 (three million five hundred thousand) Options in total to executive directors and employees as shown in the annexes attached to the present communication. With this assignment all the n. 7,000,000 options provided for in the Plan have been assigned.
