Klaipedos Nafta AB - Notification on material event

Regarding the profit for 2011 and SC Klaipėdos Nafta dividend payment

On 12 October 2011 Klaipėdos Nafta AB, in reply to the request of its shareholder the Republic of Lithuania, represented by the Ministry of Energy of the Republic of Lithuania, for provision of information on the amount of dividends that the company could distribute to its shareholders, informed it that the net profit of the company for 2011 could amount to approx. LTL 43 million, also Klaipėdos Nafta AB has retained earnings in the amount of LTL 25.973 million accumulated during previous financial years. Taking this into account, the profit of the company available for distribution at the end of 2011 could amount to approx. LTL 69 million. With regard to the provisions of Resolution No. 361 of the Government of the Republic of Lithuania “Regarding amending Resolution No. 20 of the Government of the Republic of Lithuania “Regarding dividends on shares owned by the State”, dated 14 January 1997”, dated 30 March 2011, the company could distribute dividends in the amount from LTL 34 million to LTL 55 million, considering that at least 7 percent of the company's equity but no more than 80 percent of the company profit available for distribution can be allotted for payment of dividends. Data about the possible net profit for 2011 were calculated taking into account the operating results of Klaipėdos Nafta AB during the first half of 2011 and the revenue from typical activities of the company during the second half of 2010. The presented information on the possible net profit is not audited.
