Fine Foods & Pharmaceuticals N.T.M. S.p.A. (la "Società"), quotata dal 1 ottobre 2018 sul mercato AIM di Borsa Italiana, rende noto di aver depositato in data odierna presso Consob la domanda di approvazione del Prospetto Informativo ai sensi dell'articolo 42 del Regolamento Delegato UE n. 2019/980 e dell'articolo 52 del Regolamento Consob n. 11971/ 1999, relativa all'ammissione alle negoziazioni delle azioni ordinarie e dei warrant della Società sul Mercato Telematico Azionario ("MTA").
Contestualmente la Società ha presentato a Borsa Italiana la domanda di ammissione a quotazione delle Azioni e dei Warrant sull'MTA e la richiesta della qualifica STAR, nonché la richiesta di revoca dei propri strumenti finanziari dalle negoziazioni sull'AIM Italia, subordinatamente alla contestuale ammissione degli stessi alle negoziazioni sull'MTA, eventualmente segmento STAR (ricorrendone i presupposti).
La data di inizio delle negoziazioni delle Azioni sul MTA, e la contestuale esclusione delle stesse dalla negoziazione su AIM Italia, saranno stabiliti da Borsa Italiana con successivo avviso, subordinatamente al rilascio da parte di Consob del nulla osta alla pubblicazione del prospetto informativo. Con il medesimo avviso, Borsa Italiana, previa verifica della sussistenza dei requisiti di capitalizzazione e diffusione stabiliti dall'art. 2.2.3 del Regolamento dei Mercati organizzati e gestiti da Borsa Italiana e dalle relative Istruzioni, attribuirà alle Azioni la qualifica STAR.
Sponsor della Società è Banca Akros; Grimaldi Studio Legale è il consulente legale dell'Emittente e Pavia e Ansaldo Studio legale è il consulente legale dello Sponsor, mentre EY ha agito in qualità di società di revisione; Epyon ha agito in qualità di consulente per la verifica dei dati extra-contabili nel prospetto informativo.

Fine Foods & Pharmaceuticals N.T.M. S.p.A. (the "Company"), listed since 1 October 2018 on the AIM market of Borsa Italiana, filed with Consob an application for approval of the Listing Prospectus under Article 42 of EU Delegated Regulation no. 2019/980 and Article 52 of Consob Regulation no. 11971/ 1999, for the Company's ordinary shares and warrants listing on the Mercato Telematico Azionario ("MTA").
The Company submitted an admission application to Borsa Italiana to list its Shares and Warrants on the MTA and request for STAR qualification. It also requested that it withdraws its financial instruments from AIM Italia, subject to the simultaneous MTA translisting and possibly the STAR segment (if the requirements are met).
The MTA share listing starting date, and their simultaneous exclusion from AIM Italia, will be established by Borsa Italiana using a later notice, subject to Consob's authorisation to the Listing Prospectus publication. With the same notice, Borsa Italiana, after verifying the existence of the capitalisation and dissemination requirements established by art. 2.2.3 of the Regulation of Markets organised and managed by Borsa Italiana and the relevant Instructions, will attribute the STAR qualification to the Shares.
Banca Akros is the Company Sponsor. Grimaldi Studio Legale is the Issuer legal advisor, and Pavia and Ansaldo Studio Legale is the legal advisor of the Sponsor. EY acted as auditing company, and Epyon acted as an advisor to verify the non-accounting data in the Listing Prospectus.
