REQUIREMENTS OF THE NEW BOARD OF STATUTORY AUDITORS AND THE NEW DIRECTOR APPOINTED BY THE SHAREHOLDERS' MEETING HELD ON 28 APRIL 2021 VERIFIED

Rome, 13 May 2021 - Atlantia announces that, during its first meeting held on 29 April 2021, the Board of Statutory Auditors appointed by the General Meeting of 28 April 2021, verified with positive outcome that all its effective members meet the independence requirements provided for by Article 148, paragraph 3, of the Consolidated Financial Act and by Recommendation No. 7 (as referred to by Recommendation No. 9) of the Corporate Governance Code. The Board of Directors of Atlantia S.p.A., during the meeting held today, acknowledged the results of the abovementioned check ascertaining upon all the effective members of the Board of Statutory Auditors the integrity and professionalism requirements provided for statutory auditors of listed companies by the Italian Ministry of Justice Decree n. 162 of March 30th, 2000.

The Board of Directors further verified that the Director Nicola Verdicchio (appointed by the General Meeting held on 28 April 2021) meet the integrity requirements provided by applicable laws as well as the independence requirements under Article 148, paragraph 3, of the Consolidated Financial Act (as referred to by Article 147-ter of the Consolidated Financial Act) and by Recommendation No. 7 of the Corporate Governance Code in light of the provision provided for by Article 5 of the Company's Terms of Reference of the Board of Directors adopted on 18 February 2021 (available on the Company's website at this link https://www.atlantia.it/en/corporate-governance/consiglio-di-amministrazione).

The Board of Statutory Auditors, during the meeting held on the same date, pursuant to the mentioned Article 5, paragraph 7, of the Terms of Reference of the Board of Directors, verified that the Board of Directors correctly applied the criteria adopted to verify the independence of the above-mentioned Director.
