Procedure in materia di Operazioni con parti Correlate

Milano 8 giugno 2021 - Il Consiglio di Amministrazione di Saras S.p.A. (anche "Saras" o la "Società"), tenutosi in data odierna, ha approvato, con il preventivo parere favorevole del Comitato per le Operazioni con Parti Correlate, appositamente costituito e composto esclusivamente da Amministratori Indipendenti, le modifiche da apportare alle proprie "Procedure in materia di Operazioni con parti Correlate" adottate ai sensi dell'art. 2391-bis del codice civile secondo i principi indicati dalla Consob. Le suddette modifiche sono state apportate al fine di adeguare le "Procedure in materia di Operazioni con parti Correlate" della Società a quanto previsto dal regolamento adottato da Consob con delibera n. 17221 del 12 marzo 2010 e da ultimo modificato e integrato con la delibera Consob n. 21624 del 10 dicembre 2020 (il "Regolamento Consob") che entrerà in vigore dal 1luglio 2021. Le Procedure in materia di Parti Correlate di Saras S.p.A. sono a disposizione presso il sito internet della società www.saras.it, nella sezione Governance / documenti e Procedure / Parti correlate. Nella medesima adunanza il Consiglio di Amministrazione ha altresì predefinito, in ottemperanza con quanto raccomandato dal Codice di Corporate Governance al quale Saras S.p.A. aderisce, i criteri quantitativi e qualitativi per valutare, ai fini del giudizio di indipendenza, la significatività delle eventuali relazioni commerciali, finanziarie o professionali e delle remunerazioni aggiuntive eventualmente intercorrenti con o riconosciute a amministratori e/o sindaci come previsto dalla Raccomandazione n. 7, lett. c) e d) e dalla Raccomandazione n. 9 del Codice di Corporate Governance.

Procedures on Related Party Transactions

Milan June 8th , 2021 - The Board of Directors of Saras S.p.A. (also "Saras" or the "Company"), held today, approved, with the prior favourable opinion of the Related Parties Committee, specifically constituted and composed exclusively of Independent Directors, the changes to be made to its " Procedures on Related Party Transactions "adopted pursuant to art. 2391-bis of the civil code according to the principles indicated by Consob. The amendments were made in order to adapt the Company's "Procedures for Transactions with Related Parties" to the provisions of the regulation adopted by Consob with resolution no. 17221 of March 12, 2010, and most recently amended and integrated with Consob resolution no. 21624 of 10 December 2020 (the "Consob Regulation") which will enter into force from 1 July 2021. The Related Party Procedures of Saras S.p.A. they are available on the company's website www.saras.it, in the Governance/Documents and Procedures/Related parties' section. In the same meeting, the board of directors also pre-defined, in compliance with the recommendations of the Corporate Governance Code to which Saras S.p.A. adheres to the quantitative and qualitative criteria for assessing, for the purposes of the judgment of independence, the significance of any commercial, financial, or professional relationships and any additional remuneration that may occur with or recognized to directors and / or auditors as required by Recommendation no. 7, lett. c) and d) and by Recommendation no. 9 of the Corporate Governance Code.
