Kauno Energija AB - Notification on material event

Information regarding unpaid dividends as it is stated by the law

Kaunas, Lithuania, 2012-05-31 16:00 CEST (GLOBE NEWSWIRE) -- It was decided by the decision of General Meeting of Shareholders of AB “Kauno energija” from 30th of April, 2012 “Regarding allocation of Company's profit (loss) of the year 2011 to allocate a part of Company's 2011 year profit, i. e. LTL 10 682 994 (LTL 0,25 per share) for dividends. The Company could not pay dividends as it is described in Law on Companies of the Republic of Lithuania, because the Company must have permissions of banks for paying of dividends under the terms of loans agreements signed with these financial institutions. AB “Kauno energija” has got three objections from three financial institutions at this time. Only one financial institution has got its permission to pay dividends. We hereby inform that the matter of permissions for paying dividends will be discussed at the meeting with the banks financing the Company, organized by Kaunas mayor A. Kupčinskas on 5th of June, 2012. Information regarding results of this meeting and regarding decision of the Management Board of the Company if the permissions from the banks would be received will be provided additionally.
