ADEGUAMENTO ACCORDI CON I SOCI-MANAGER OVS POST AUMENTO DI CAPITALE OVS

A seguito del completamento del recente aumento di capitale di OVS S.p.A., Tamburi Investment Partners S.p.A. ("TIP" – MI) comunica che gli accordi di opzione già in essere con Stefano Beraldo ed altri manager OVS (oggetto di comunicato stampa del 20 dicembre 2019) sono stati modificati come segue:

• le opzioni saranno esercitabili al prezzo di 1,718 euro per azione;
• il numero di azioni OVS oggetto degli accordi resta definito in funzione del prezzo medio ponderato del titolo OVS nei trenta giorni antecedenti l'esercizio dell'opzione, rivisto come segue:
• i. se il prezzo del titolo sarà pari o superiore a euro 2,061, complessivamente numero 2.834.012 azioni;
• ii. se il prezzo del titolo sarà pari o superiore euro 2,405, complessivamente numero 4.048.590 azioni;
• iii. se il prezzo del titolo sarà pari o superiore a euro 2,748, complessivamente numero 6.072.886 azioni.

Tutto il resto rimane invariato. I prezzi di cui sopra potranno essere ulteriormente rettificati in funzione di eventuali future distribuzioni di dividendi o di operazioni sul capitale.

È fatta salva la facoltà unilaterale di TIP di optare per modalità di cash settlement.

AMENDEMENT OF AGREEMENTS WITH OVS SHAREHOLDERS-MANAGERS AFTER OVS CAPITAL INCREASE

Following the completion of the recent capital increase of OVS S.p.A., Tamburi Investment Partners S.p.A. ("TIP" - MI) announces that the option agreements already in place with Stefano Beraldo and other OVS managers (subject of a press release dated 20 December 2019) have been amended as follows:

• the options will be exercisable at the price of Euro 1.718 per share;
• the number of OVS shares covered by the agreements remains defined on the basis of the weighted average price of the OVS share in the thirty days prior to the exercise of the option, which is revised as follows:
• i. if the share price is equal to or greater than Euro 2.061, a total of 2,834,012 shares;
• ii. if the share price is equal to or greater than Euro 2.405, a total of 4,048,590 shares;
• iii. if the share price is equal to or greater than Euro 2.748, a total of 6,072,886 shares.

Everything else remains unchanged. The above prices may be further adjusted in relation to any future dividend distributions or capital transactions.

TIP's unilateral right to opt for a cash settlement method is reserved.
