Communication regarding the change in share capital and voting rights

(drafted pursuant to Art 85-bis, subsection 1 and subsection 4-bis of Consob Regulation No. 11971 of 14 May 1999)

De' Longhi S.p.A. hereby communicates the new share capital composition (fully subscribed and paid up), following the execution, during the period between 3 rd September 2021 and 15 September 2021, of the capital increase resolved upon by the Shareholders' Meeting held on 14 April 2016 to service the "2016-2022 Stock Options" plan of De' Longhi S.p.A. (the "Plan").

The statement on the change in share capital was filed with the Treviso-Belluno Register of Companies today.

The capital increase described above was carried out with the issue of 81.236 ordinary shares (IT0003115950) in favour of the Plan's beneficiaries.

De' Longhi S.p.A. announces also that there has been a change in the voting rights of the Company due to the operation on the share capital communicated via Press Release on September 13, 2021 and relating to no. 6,000,000 ordinary shares of De' Longhi S.p.A., pursuant to art. 127-quinquies of Legislative Decree 98/1998 ("TUF") and in application of the provisions of Article 5-bis of the Articles of Association.
