effectiveness of the merger by incorporation of Bre.Ma Brenna Macchine s.r.l.

We Biesse, company listed in the Euronext STAR segment Milan inform that on 1 January 2022 is becoming effectiveness the merger by incorporation of the Company Bre.Ma Brenna Macchine s.r.l. deliberated by the Biesse B.o.D. the 28 September 2021 (deed of merger has been deposited in Como Company Register the 21 December 2021). To service the above mentioned merger, we Biesse have deliberated an Increase in share capital for Euro 9,551. by issuing new ordinary shares of nominal value Euro 1.

Consequently, the Biesse share capital fully subscribed and paid up is Euro 27,402,593..
