A2A E ARDIAN FIRMANO DUE ACCORDI VINCOLANTI PER L'ACQUISIZIONE DI PORTAFOGLI EOLICI E FOTOVOLTAICI

Le parti siglano due accordi da 452 milioni di euro di investimento per 352 MW di potenza complessiva.

Milano, 22 gennaio 2022 – A2A e Ardian, società privata di investimenti leader mondiale, hanno sottoscritto in data odierna un accordo vincolante ai sensi del quale A2A acquisterà da fondi Ardian partecipazioni in 3New&Partners, Daunia Calvello e Daunia Serracapriola, società che compongono un portafoglio di parchi eolici in Italia con una potenza complessiva di 335 MW (195 MW pro quota rispetto alla partecipazione detenuta da Ardian in tale portafoglio), a fronte di un Equity Value di 265 milioni di euro. Le due parti hanno inoltre siglato un secondo accordo vincolante per un ulteriore portafoglio, 4New, interamente detenuto da un fondo gestito da Ardian composto da impianti eolici e fotovoltaici per complessivi 157 MW di cui 117 MW localizzati in Italia ed i restanti 40 WW in Spagna: l'acquisizione da parte di A2A prevede un Equity Value di 187 milioni di euro.

"Con questi impianti A2A consolida la posizione di secondo operatore nelle rinnovabili e la presenza sul territorio nazionale, incrementando le proprie attività in Sardegna, Puglia, Lazio e Campania. L'operazione consente al Gruppo di registrare un'importante crescita nell'eolico e avanzare nel fotovoltaico. Inoltre, come previsto nel Piano Industriale 2021-2030, la presenza in Spagna costituisce un primo step di sviluppo di Impianti Rinnovabili in altri Paesi europei. L'accordo odierno e le operazioni concluse negli ultimi 12 mesi ci consentono di anticipare di due anni gli obiettivi di incremento nella generazione di energia green previsti dal nostro Piano Industriale" - commenta Renato Mazzoncini, Amministratore Delegato di A2A – "Per affrancarsi dalla dipendenza estera nell'approvvigionamento del gas occorre accelerare il potenziamento delle rinnovabili, un fattore chiave per la transizione ecologica. Gli impianti eolici oggetto degli accordi fra A2A e Ardian si trovano in Sardegna, Puglia, Campania e nella regione spagnola della Catalogna mentre quelli fotovoltaici sono situati in Puglia, Lazio e nella regione spagnola dell'Andalusia.

Il perfezionamento di entrambe le operazioni è condizionato all'avveramento di usuali condizioni sospensive ed è previsto indicativamente entro la fine di giugno 2022.

A2A AND ARDIAN SIGN TWO BINDING AGREEMENTS FOR WIND AND PHOTOVOLTAIC PORTFOLIOS

The parties sign two agreements for an investment of 452 million euros for a total capacity of 352 MW.

Milan, January, 22, 2022 – A2A and Ardian, a world-leading private investment house, today signed a binding agreement under which A2A will acquire from Ardian funds participations in 3New&Partners, Daunia Calvello and Daunia Serracapriola, companies comprising a portfolio of wind farms in Italy with a total capacity of 335 MW (195 MW pro-rata with respect to Ardian's stakes), for an Equity Value of 265 million euros.

The two parties have also signed a second binding agreement for a further portfolio, 4new, owned by a fund managed by Ardian and consisting of wind farms and photovoltaic plants for a total of 157 MW, of which 117 MW are located in Italy and the remaining 40 MW in Spain: the acquisition by A2A provides for a total Equity Value of 187 million euro.

The wind farms covered by the agreements between A2A and Ardian are located in Sardinia, Puglia, Campania and the Spanish region of Catalonia, while the photovoltaic plants are located in Puglia, Lazio and the Spanish region of Andalusia.

The completion of both transactions is subject to the fulfilment of customary conditions precedent and is expected indicatively by the end of June 2022.
