TIP ENTRA IN LIO FACTORY

PER ACCELERARNE LO SVILUPPO NEGLI INVESTIMENTI ALTERNATIVI

Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), gruppo industriale indipendente e diversificato quotato al segmento Euronext STAR Milan di Borsa Italiana, socio attivo di numerose eccellenze imprenditoriali italiane ed estere, ha acquisito – mediante sottoscrizione di un aumento di capitale riservato – il 10% di Lio Factory, capogruppo di una piattaforma paneuropea di Investimenti Alternativi guidati da un approccio data driven (www.liofactory.com).

Il Gruppo Lio Factory, con sedi a Milano, Londra, Boston e Lussemburgo, è stato fondato da Francesco Marini circa dieci anni fa ed ha rapidamente raggiunto una posizione di rilievo in settori previsti in forte crescita, in cui TIP non è presente.

Le attività di investimento del Gruppo Lio Factory sono sempre state caratterizzate da un approccio "single name" e "Deal-by-Deal, molto innovativo e l'operatività è realizzata tramite veicoli societari customizzati sulle specifiche operazioni. La maggiore innovazione del gruppo riguarda l'expertise tecnologica maturata, in quanto molti processi decisionali dei team di investimento vengono sviluppati con l'ausilio di algoritmi proprietari e con l'uso dell'intelligenza artificiale.

La piattaforma che fa capo a Lio Factory ad oggi è attiva in:

• Value Added Real Estate: dedicata all'investimento diretto in segmenti di nicchia nel Real Estate, sia in fasi Distressed che in fase Development;
• Special Opportunities: dedicata all'acquisto di contenziosi aziendali e all'assunzione di Concordati Fallimentari con particolari complessità sul piano tecnico-legale;
• Deeptech: focalizzata sullo sviluppo ed investimento in progetti particolarmente innovativi nei rami dell'attività cd Deeptech, con una più marcata attenzione alle aree del Biotech, Climate/Clean Tech e Fintech.

Negli ultimi 18 mesi nelle divisioni Value Added Real Estate e Special Opportunities il Gruppo Lio Factory ha realizzato:

• 6 operazioni Real Estate con investimenti complessivi per circa 175 milioni di euro;
• acquisti di contenziosi per un petitum complessivo di oltre 100 milioni di euro;
• oltre 20 proposte di assunzione di concordati fallimentari con un attivo complessivo di circa 500 milioni di euro.

Il Gruppo Lio Factory ha finora realizzato i seguenti investimenti in Deeptech e Fintech:

• nel Biotech in (i) REJUVERON AG, società di biotecnologia specializzata nella realizzazione di terapie innovative nel settore longevity e (ii) nella piattaforma tecnologica americana ORIONIS BIOSCENCES, focalizzata sulla scoperta e lo sviluppo di terapie progettate per attivare meccanismi fisiologici di difesa per diverse patologie, prima delle quali l'oncologia;

• nel Fintech in: (i) NAGA, e-broker di trading online quotato alla borsa di Francoforte, (ii) CYAN, società di cyber-security focalizzata sul settore telecomunicazioni e (iii) DEFINITIVE CAPITAL, società di investimento specializzata nel decentralized finance e Non Fungible Tokens (NFTs).

L'alleanza tra TIP e Lio Factory concretizzatasi con quest'operazione è stata concepita in ottica strategica, con lo scopo di consentire a TIP di aumentare la propria presenza in aree fortemente innovative ed anche complementari a quelle attualmente presidiate, di dare alle attività di Lio Factory un respiro ancor più vasto sia in ottica di competenze settoriali che di articolazione del network e, per tutti, di accelerare ed incrementare le operazioni in "club deal" sugli investimenti alternativi – segmento in forte crescita – che verranno prospettate anche a coinvestitori di TIP e nelle quali TIP potrà investire direttamente, con equity ticket tendenzialmente non superiore, per ogni deal, ai 30 milioni di euro.

TIP ENTERS IN LIO FACTORY

TO ACCELERATE ITS DEVELOPMENT IN ALTERNATIVE INVESTMENTS

Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), an independent and diversified industrial group listed on the Euronext STAR Milan segment of Borsa Italiana, an active partner of numerous Italian and foreign entrepreneurial excellence, has acquired – by subscribing a reserved capital increase – 10% of Lio Factory, parent company of a pan-European platform of Alternative Investments guided by a data driven approach (www.liofactory.com).

The Lio Factory Group, with offices in Milan, London, Boston and Luxembourg, was founded by Francesco Marini about ten years ago and quickly achieved a prominent position in sectors expected to be growing strongly, in which TIP is not present.

The investment activities of the Lio Factory Group have always been characterized by a very innovative "single name" and "Deal-by-Deal" approach and operations are carried out through corporate vehicles customized to specific operations. The Group's innovative approach concerns the technological expertise gained, as many decision-making processes of the investment teams are developed utilizing proprietary algorithms and artificial intelligence.

The Lio Factory platform is currently operating in:

• Value Added Real Estate: dedicated to direct investment in niche segments in Real Estate, both in Distressed and Development phases;
• Special Opportunities: purchase of corporate disputes and assumption of bankruptcy agreements with particular technical-legal complexities;
• Deeptech: development and investment in innovative projects, with a stronger focus on Biotech, Climate / Clean Tech and Fintech sectors.

In the last 18 months, in the Value Added Real Estate and Special Opportunities divisions, the Lio Factory Group has finalized:

• 6 Real Estate transactions with total investments of approximately 175 million euros;
• purchases of disputes for a total petitum of over 100 million euros;
• over 20 proposals for the assumption of bankruptcy agreements with total assets of approximately 500 million euros.

In Deeptech Lio Factory Group has so far finalised investments:

• in Biotech in: (i) REJUVERON AG, a biotechnology company specialized in the development of innovative therapies in the longevity sector and in: (ii) ORIONIS BIOSCENCES, an American

biotechnology platform focused on the discovery and development of therapies designed to activate physiological defense mechanisms for various pathologies, the first being oncology;

• in Fintech in: (i) NAGA, an online trading e-broker listed on the Frankfurt stock exchange, (ii) CYAN, a cyber-security company focused on the telecommunications sector and (iii) DEFINITIVE CAPITAL, an investment company specialized in decentralized finance and Non Fungible Tokens (NFTs).

The alliance between TIP and Lio Factory that is materialized with this transaction has been conceived with a very solid strategic rationale. It allows TIP to increase its presence in highly innovative and also complementary areas to those currently manned, Lio Factory to further broaden its scope both in terms of sector skills and network articulation and, for both parties, to accelerate and increase "club deal" transactions on alternative investments – a fast growing segment – which will also be offered to TIP co-investors and in which TIP will be also able to invest directly, with equity tickets that should not exceed 30 million euros for each deal.
