Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), gruppo industriale indipendente e diversificato, quotato al segmento Euronext STAR Milan di Borsa Italiana S.p.A., informa di aver ricevuto in data 17 marzo 2022 comunicazione da parte del Sindaco Effettivo dottoressa Alessandra Tronconi, la quale, preso atto della proposta motivata del Collegio Sindacale, rispetto alla quale non ha partecipato nemmeno alla fase di valutazione, in merito al conferimento dell'incarico di revisione legale dei conti per il periodo 2023 – 2031 a KPMG S.p.A., in ragione della situazione di potenziale conflitto di interesse o incompatibilità che si verrebbe teoricamente a determinare in considerazione del fatto che la dottoressa Tronconi riveste la qualifica di partner dello Studio Associato di Consulenza Legale e Tributaria facente parte del medesimo network al quale appartiene la società di revisione proposta dal Collegio Sindacale, ha rassegnato le dimissioni volontarie dalla carica, subordinatamente all'assunzione da parte dell'Assemblea dei Soci della delibera favorevole in relazione al conferimento dell'incarico di revisione legale dei conti, per il periodo 2023 – 2031 a KPMG S.p.A., con efficacia a partire dalla data di tale Assemblea.

Ai sensi di legge e di statuto, laddove si verificasse la condizione sopra indicata, subentrerà automaticamente nella carica di Sindaco Effettivo la dottoressa Marzia Nicelli, attuale Sindaco Supplente appartenente alla medesima lista della dottoressa Alessandra Tronconi (il cui curriculum vitae è consultabile sul sito internet www.tipspa.it nella sezione corporate governance/assemblee/documenti), che scadrà assieme con gli altri Sindaci in carica al momento del suo ingresso nel Collegio, e l'Assemblea dei Soci dovrà provvedere alla nomina di un Sindaco Supplente necessaria per l'integrazione del Collegio Sindacale.

Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), an independent and diversified industrial group, listed on the Euronext STAR Milan segment of Borsa Italiana SpA, informs that it received on March 17, 2022 a communication from the Statutory Auditor, Alessandra Tronconi, who, having taken deed of the motivated proposal of the Board of Statutory Auditors, with respect to which she did not even participate in the evaluation phase, regarding the assignment of the statutory audit for the period 2023 - 2031 to KPMG S.p.A., due to the situation of potential conflict of interest or incompatibility that would theoretically arise in consideration of the fact that Ms. Tronconi holds the status of partner of the Associated Legal and Tax Consultancy Firm which is part of the same network to which the auditing firm proposed by the Board of Statutory Auditors belongs, has submitted the voluntary resignation from office, subject to assumption by the Shareholders' Meeting of the favorable resolution in relation to the assignment of the legal audit mandate, for the period 2023 – 2031, to KPMG S.p.A., with effect from the date of that Shareholders' Meeting.

Pursuant to the law and the Articles of Association, should the aforementioned condition occur, Ms. Marzia Nicelli will automatically take over the office of Statutory Auditor, current Alternate Auditor belonging to the same list as Ms Alessandra Tronconi (whose curriculum vitae can be consulted on the website www.tipspa.it in the corporate governance/shareholdersmeetings/documents section), who will expire together with the other Statutory Auditors in office at the time of her entry into the Board, and the Shareholders' Meeting will have to appoint an Alternate Auditor necessary for the integration of the Board of Statutory Auditors.
