BANCA SISTEMA: SCIOGLIMENTO DEL PATTO PARASOCIALE

Milano, 23 maggio 2022

Banca Sistema informa che, in data odierna, i soci Società di Gestione delle Partecipazioni in Banca Sistema S.r.l. (SGBS), Fondazione Cassa di Risparmio di Alessandria e Fondazione Sicilia, essendosi esaurita la funzione del patto parasociale, tra gli stessi stipulato, consistente principalmente nella nomina del Collegio Sindacale di cui non è previsto il rinnovo entro il termine di scadenza dello stesso patto, ne hanno reso noto l'intervenuto scioglimento per risoluzione consensuale.

Il patto, rilevante ai sensi dell'art. 122, commi 1 e 5, lett. b), del D.lgs. n. 58 del 1998, stipulato il 29 giugno 2020, aveva rinnovato il patto parasociale già stipulato il 29 giugno 2018, successivamente modificato in data 22 febbraio 2019 e giunto a scadenza il 1° luglio 2020.

L'estratto, contenente la notizia dell'intervenuto scioglimento del patto parasociale, sarà reso disponibile nei termini di legge sul sito internet della Società www.bancasistema.it e sul sito internet del meccanismo di stoccaggio autorizzato da Consob .

Dello scioglimento del patto parasociale sarà data comunicazione al Registro delle Imprese di Milano.

BANCA SISTEMA: DISSOLUTION OF THE SHAREHOLDERS' AGREEMENT

Milan, 23 May 2022

Banca Sistema informs that today the shareholders Società di Gestione delle Partecipazioni in Banca Sistema S.r.l. (SGBS), Fondazione Cassa di Risparmio di Alessandria and Fondazione Sicilia gave notice of the termination by consensual resolution of the Shareholders' Agreement. The termination by consensual resolution is due to the fact that the Shareholders' Agreement, entered into between them, has reached its scope, mainly consisting in the appointment of the Board of Statutory Auditors which is not expected to be renewed by the expiry date of the agreement.

The Shareholders' Agreement, relevant pursuant to art. 122, paragraph 1 and 5, lett. b) of the D.Lgs. n. 58/1998, signed on 29 June 2020, had renewed the Shareholders' Agreement signed on 29 June 2018, subsequently amended on 22 February 2019 with expiry date on 1 July 2020.

Extract containing the notice of the resolution of the Shareholders' Agreement will be available on the Company's website www.bancasistema.it and on the website of the authorized storage mechanism in accordance with the required terms.

The notice of the dissolution of the Shareholders' Agreement will also be filed with the Registry of Companies of Milan.
