Clubitaly, società di cui il maggiore azionista è TIP - Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), gruppo industriale indipendente e diversificato quotato al segmento Euronext STAR Milan di Borsa Italiana S.p.A., ha sottoscritto in data odierna gli accordi raggiunti per il rafforzamento strategico e patrimoniale di Eataly che prevedono – in caso di superamento delle condizioni sospensive previste – l'ingresso nella compagine azionaria della capogruppo Eataly S.p.A. di una società del gruppo Investindustrial con una quota di maggioranza.

Clubitaly, a seguito del superamento delle condizioni sospensive, al closing:

• 1. acquisirà un'ulteriore partecipazione in Eataly a condizioni tali da consentirle di abbassare sensibilmente il valore medio di carico;
• 1. non cederà azioni Eataly;
• 1. avrà il diritto ad una rappresentanza nel Consiglio di Amministrazione di Eataly.

A tale data entreranno in vigore patti parasociali - già ben definiti tra soci - che disciplineranno la futura governance del gruppo e che prevedono, tra l'altro, all'atto della futura valorizzazione di quote del capitale di Eataly, dei meccanismi di protezione del valore di carico in Clubitaly.

L'operazione prevista, oltre a consentire ad Eataly di beneficiare di ulteriori e rilevanti risorse finanziarie e manageriali, consentirà di procedere, e possibilmente accelerare, il piano di sviluppo del gruppo Eataly già programmato da anni, che era stato rinviato e parzialmente ridimensionato a causa delle conseguenze della pandemia.

TIP, THROUGH CLUBITALY, PARTICIPATES IN THE NEW DEVELOPMENT PHASE OF EATALY

Clubitaly, a company of which the major shareholder is TIP - Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), an independent and diversified industrial group listed on the Euronext STAR Milan segment of Borsa Italiana, today signed the agreements reached for the strategic and capital strengthening of Eataly which provide – in the event of fulfillment of the conditions precedent provided – for entry into the shareholding of the parent company Eataly S.p.A. of a company of the Investindustrial group with a majority stake.

Clubitaly, following the fulfillment of the conditions precedent, at closing:

• 1. will acquire a further stake in Eataly under conditions that allow it to significantly lower the average book value;
• 1. will not sell Eataly shares;
• 1. will have the right to be represented on the Eataly Board of Directors.

On that date they will come into force the shareholders' agreements – already well defined among shareholders – that will discipline the future governance of the group and which provide, among other things, at the time of the future enhancement of shares in Eataly's capital, for the mechanisms to protect the book value in Clubitaly.

The planned transaction, in addition to allowing Eataly to benefit from additional and significant financial and managerial resources, will allow to proceed and possibly speed up the development plan of the Eataly group already planned for years, which had been postponed and partially downsized due to the consequences of the pandemic.
