Deliberata la seconda tranche del dividendo 2022 0,22 per azione

Roma, 27 ottobre 2022 Il Consiglio di Amministrazione, presieduto da Lucia Calvosa, nella riunione odierna, ha deliberato di distribuire agli azionisti la seconda delle quattro tranche del dividendo 2022, a valere sulle riserve disponibili1 , 0,22 (rispetto a un dividendo complessivo per ciascuna azione in circolazione alla data di stacco cedola del 21 novembre 20222 , con messa in pagamento il 23 novembre 20223 , in linea con quanto anticipato il 18 marzo scorso in occasione del Capital Markets Day e con quanto deliberato

. Ai possessori di ADRs registrati entro il 22 novembre 2022, quotati alla Borsa di New York e rappresentativi ciascuno di due azioni Eni, la seconda tranche di dividendo distribuita sarà 0,44 per ADR, pagabile il 7 dicembre 20224 .

² Il dividendo, a seconda dei percettori, è soggetto a ritenuta alla fonte a titolo di imposta o concorre in misura parziale alla formazione del reddito imponibile.

³ -terdecies del D. Lgs. 24 febbraio 1998, n. 58 (TUF) la legittimazione al pagamento del dividendo è determinata con -quater, comma 3 del TUF, al termine della giornata contabile del 22 novembre 2022 (record date).

⁴ Alla data di pagamento, Citibank, N.A. provvederà al pagamento ai possessori di ADR del dividendo al netto della ritenuta alla fonte a titolo di imposta, come previsto dalla legislazione italiana applicabile a tutti i Depositary Trust Company Participants.

Approval of 2022 second tranche of dividend: € 0.22 per share

Rome, 27 October 2022 - Eni's Board of Directors, chaired by Lucia Calvosa, today resolved to distribute to Shareholders the second of the four tranches of the dividend 2022 from Eni S.p.A. available reserves1 for the fiscal year 2022 of € 0.22 (compared to a total annual dividend of € 0,88) per share outstanding at the ex-dividend date as of 21 November 20222, payable on 23 November 20223, as announced on 18 March 2022 with the Capital Market Day and resolved by the Shareholders' Meeting of 11 May 2022.

Holders of ADRs, outstanding at the record date of 22 November 2022, will receive € 0.44 per ADR, payable on 7 December 20224, with each ADR listed on the New York Stock Exchange representing two Eni shares.
