RELAZIONE ILLUSTRATIVA DEL CONSIGLIO DI AMMINISTRAZIONE SUL TERZO PUNTO ALL'ORDINE DEL GIORNO DELL'ASSEMBLEA ORDINARIA DEGLI AZIONISTI DI BREMBO S.P.A., CONVOCATA PER IL GIORNO 23 APRILE 2024 IN UNICA CONVOCAZIONE.

Presentazione del Bilancio consolidato del Gruppo Brembo al 31 dicembre 2023, comprensivo della Relazione del Consiglio di Amministrazione sull'andamento della gestione, della Relazione del Collegio Sindacale, della Relazione della Società di Revisione e dell'Attestazione del Dirigente Preposto.

Signori Azionisti,

la presente Relazione - redatta ai sensi dell'art. 125-ter, comma 1, del D. Lgs. 24 febbraio 1998 n. 58, come successivamente modificato e integrato (il "TUF") e dell'art. 84-ter del Regolamento adottato con delibera Consob n. 11971 del 14 maggio 1999, come successivamente modificato e integrato - è stata approvata dal Consiglio di Amministrazione di Brembo S.p.A. ("Brembo" o la "Società") nella seduta del 5 marzo 2024 e viene messa a disposizione del pubblico, nei termini di legge e regolamentari, presso la sede sociale, sul sito internet della Società, all'indirizzo www.brembo.com, sezione "Investitori" – "Per gli Azionisti" – "Assemblea dei Soci", nonché sul meccanismo di stoccaggio autorizzato "-storage" ().

Con riferimento al punto 3. all'ordine del giorno dell'Assemblea, il Consiglio di Amministrazione intende sottoporre al Vostro esame, ai sensi di legge, il Bilancio consolidato del Gruppo Brembo al 31 dicembre 2023, redatto da Brembo, in qualità di società per azioni controllante altre imprese in ottemperanza a quanto previsto dall'art. 25 del D.Lgs. del 9 aprile 1991, n. 127, e dall'IFRS 10 e comprensivo della Relazione del Consiglio di Amministrazione sull'andamento della gestione, della Relazione del Collegio Sindacale, della Relazione della Società di Revisione e dell'Attestazione del Dirigente Preposto alla Redazione dei Documenti Contabili Societari ai sensi dell'art. 154-bis, comma 5, del TUF.

Il Bilancio consolidato del Gruppo Brembo al 31 dicembre 2023 è stato altresì redatto secondo quanto previsto dal Regolamento (CE) n. 1606/2002 del Parlamento Europeo e del Consiglio, in conformità ai principi contabili internazionali (IFRS) in vigore al 31 dicembre 2023, emanati dall'International Accounting Standard Board (IASB) e adottati ai sensi delle disposizioni normative, italiane ed europee, pro tempore vigenti e applicabili, ivi incluso il Regolamento Delegato (UE) n. 2019/815 del 17 Dicembre 2018 della Commissione.

Il Bilancio consolidato del Gruppo Brembo al 31 dicembre 2023 presenta:

• Ricavi da contratti con clienti pari a Euro 3.849.202 migliaia;
• Costi operativi e altri oneri/proventi netti pari a Euro (3.435.130) migliaia;
• Risultato netto della gestione finanziaria pari a Euro (22.072) migliaia;
• Risultato prima delle imposte pari a Euro 392.000 migliaia;
• Risultato netto pari a Euro 305.039 migliaia.

Il Bilancio consolidato del Gruppo Brembo al 31 dicembre 2023 è stato esaminato e approvato dal Consiglio di Amministrazione di Brembo riunitosi in data 5 marzo 2024.

Si ricorda che la documentazione relativa al terzo punto all'ordine del giorno è messa a disposizione presso la sede sociale, sita in Curno (BG), Via Brembo 25, e sul sito internet della Società www.brembo.com, sezione "Investitori", "Bilanci e Relazioni", nonché presso il meccanismo di stoccaggio autorizzato ().

Coloro che desiderassero ricevere la suddetta documentazione in formato cartaceo dovranno farne richiesta alla Società tramite comunicazione a ir@brembo.it entro e non oltre il 31 marzo 2024 così da permettere alla Società di provvedere a soddisfare tale richiesta.

Tale documentazione comprende i seguenti documenti:

• Relazione del Consiglio di Amministrazione sull'andamento della gestione al 31 dicembre 2023, corredata della Relazione del Collegio Sindacale;
• Bilancio consolidato del Gruppo Brembo relativo all'esercizio chiuso al 31 dicembre 2023;
• Note illustrative al Bilancio consolidato del Gruppo Brembo relativo all'esercizio chiuso al 31 dicembre 2023;
• Relazione della Società di Revisione sul Bilancio consolidato del Gruppo Brembo relativo all'esercizio chiuso al 31 dicembre 2023 predisposta conformemente a quanto previsto dal Regolamento (UE) n. 537/2014 e dal 27 gennaio 2010, n. 39, come successivamente modificato e integrato;
• Attestazione del Dirigente Preposto alla Redazione dei Documenti Contabili Societari e del legale rappresentante e Presidente Esecutivo di Brembo, ai sensi dell'art. 154-bis, comma 5, del TUF.

Tutto ciò premesso l'Assemblea degli Azionisti di Brembo S.p.A. è chiamata ad esaminare il Bilancio consolidato del Gruppo Brembo al 31 dicembre 2023.

Presentation of the Consolidated Financial Statements of the Brembo Group for the year ended 31 December 2023, with the Directors' Report on Operations, the Statutory Auditors' Report, the Independent Auditors' Report and the Attestation of the Manager in charge of the Company's Financial Reports.

The following Illustrative Report – prepared pursuant to art. 125-ter, paragraph 1, of the Legislative Decree Nr. 58 of February 24, 1998, as subsequently amended and integrated (hereinafter "TUF") and Art. 84-ter of Consob Regulation adopted through Resolution No. 11971 of 14 May 1999, as subsequently amended and integrated – has been approved by the Board of Directors of Brembo S.p.A. ("Brembo" or "Company") held on 5 March 2024 and is available, according to the terms provided by laws and regulations, at the Company's registered office, as well as on the corporate website www.brembo.com, "Investors" section, "For Shareholders", "Shareholders' Meeting", and through the mechanism for the storage of regulated information ().

With reference to the third item on the agenda of the Ordinary Shareholders' Meeting, the Board of Directors is submitting to your examination and approval, according to the law, Brembo Group Consolidated Financial Statements for the year ended 31 December 2023, prepared by Brembo S.p.A. as a joint-stock company controlling other companies in compliance with the provisions of art. 25 of the Legislative Decree of 9 April 1991, n. 127, and of IFRS 10, including the Board of Directors' Report on Operations, the Statutory Auditors' Report, the Independent Auditors' Report and the Attestation of the Manager in Charge of the Company's Financial Reports , pursuant to Article 154 bis, paragraph 5, of TUF.

At this regard, we thereby inform you that that Brembo Group Consolidated Financial Statements for the year ended 31 December 2023 was drafted in accordance with the European Regulation (EC) no. 1606/2002 of the European Parliament and of the Council, in compliance with the international accounting standards (IFRS) in force at 31 December 2023, issued by the International Accounting Standard Board (IASB) and adopted by Italian and European laws and regulations, pro tempore in force and applicable, included the Commission Delegated Regulation (EU) 2019/815 of 17 December 2018.

Brembo Group Consolidated Financial Statements for the year ended 31 December 2023 provides:

• Revenue from Contracts with Customers Euro 3,849,202 thousand;
• Operating Costs Euro and the Net Charges/Income Euro (3,435,130) thousand;
• Net Result from Financial Activities Euro (22,072) thousand;
• Result Before Taxes Euro 392,000 thousand; and
• Net Result for the Period Euro 305,039 thousand.

In the meeting of 5 March 2024, the Board of Directors of Brembo S.p.A. has analysed and approved Brembo Group Consolidated Financial Statements for the year ended 31 December 2023.

It bears also recalling that all documents – on the third item of the agenda – are made available at the Company's registered office in Curno (Bergamo), Via Brembo 25, as well as on the corporate website www.brembo.com, Investors section, Reports, and through the mechanism for the storage of regulated information "-storage" ().

Should any participant wish to receive a paper format of the above-mentioned documentation, a request can be sent to ir@brembo.it no later than 31 March 2024 so that the Company could arrange and satisfy the request.

The documentation includes:

• the Directors' Report on Operations at 31 December 2023, included the Statutory Auditors' Report.
• the Consolidated Financial Statements for the year ended 31 December 2023.
• the Explanatory Notes to the Consolidated Financial Statements for the year ended 31 December 2023.
• the Independent Auditors' Report on the Consolidated Financial Statements related to the year ended 31 December 2023 pursuant to the Legislative Decree No. 39 of 27 January 2010, as subsequently amended and supplemented;
• the Attestation of the Manager in Charge of the Company's Financial Reports and of the Legal Representative and the Executive Chairman of Brembo, pursuant to Article 154-bis, paragraph 5, of TUF.

In light of the foregoing, the Shareholders' Meeting of Brembo S.p.A. is invited to examine Brembo Group Consolidated Financial Statements at 31 December 2023.
