TIP perde la qualifica di PMI

Tamburi Investment Partners S.p.A. ("TIP" - tip.mi) gruppo industriale indipendente e diversificato quotata al segmento Euronext STAR Milan di Borsa Italiana S.p.A. rende noto, ai sensi dell'articolo 2-ter, comma 2, lettera a), del regolamento adottato con delibera Consob n. 11971 del 14 maggio 1999 ( Regolamento Emittenti), che a decorrere dal 1° gennaio 2023 TIP non avrà più la qualifica di Piccola Media Impresa ( PMI) di cui all'articolo 1, comma 1, lettera w-quater.1 del decreto legislativo 24 febbraio 1998, n. 58 ( TUF) in quanto il 31 dicembre 2022 si è esaurito il regime transitorio previsto dall'articolo 44-bis, comma secondo, del d.l. n. 76/2020 convertito con l. n. 120/2020 che ha modificato la definizione di PMI eliminando il riferimento al parametro del fatturato e ha previsto che gli emittenti che alla data di entrata in vigore della legge di conversione di tale decreto (i.e. al 15 settembre 2020) assumevano la qualifica di PMI in base al solo criterio del fatturato (come nel caso di TIP) avrebbero continuato a mantenere tale qualifica per due esercizi successivi a quello in corso a tale data.

Si rammenta quindi che, in virtù della perdita della qualifica di PMI da parte di TIP, ai fini degli obblighi di comunicazione delle partecipazioni rilevanti, ai sensi dell'articolo 120, comma 2, del TUF, trova applicazione la soglia rilevante pari al 3% del capitale.

Si rammenta in particolare che, ai sensi dell'articolo 117, comma 2-bis, del Regolamento Emittenti, chiunque, al momento della perdita della qualifica di PMI di TIP, detenga una partecipazione superiore al 3% e inferiore al 5%, deve darne comunicazione alla Consob e a TIP, entro il termine previsto dall'articolo 121, comma 3-bis, del Regolamento Emittenti.

TIP loses PMI (SME) status

Tamburi Investment Partners S.p.A. ("TIP" - tip.mi) independent and diversified industrial group listed on the Euronext STAR Milan segment of Borsa Italiana S.p.A. announces, according to Article 2-ter, paragraph 2, letter a), of the regulation adopted by Consob resolution no. 11971 date 14 May 1999 (Issuers' Regulation), that starting as of 1 January 2023 TIP will cease to be a Small Medium Enterprise (SME) pursuant to Article 1, paragraph 1, letter wquater.1 of the legislative decree 24 February 1998, n. 58 (TUF) as on 31 December 2022 expired the transitional regime provided for by Article 44-bis, paragraph 2, of Law Decree no. 76/2020 converted by Law no. 120/2020, which amended the definition of SME by eliminating the reference to the turnover parameter and provided that issuers that on the date of entry into force of the law converting said decree (i. e. on 15 September 2020) assumed the status of SME based only on the turnover criterion (as in the case of TIP) would continue to maintain such status for two financial years following the one in progress on such date

It is therefore recalled that, by virtue of TIP's loss of SME qualification, for the purposes of the disclosure obligations of the relevant shareholdings, pursuant to Article 120, paragraph 2, of the TUF, the relevant threshold equal to 3% of the share capital applies.

In particular, it should be noted that, pursuant to Article 117, paragraph 2-bis, of the Issuers' Regulation, anyone who, at the time of the loss of TIP's SME status, holds a shareholding of more than 3% and less than 5%, must notify Consob and TIP, within the term provided for in Article 121, paragraph 3-bis, of the Issuers' Regulation.
