PRESS RELEASE

Turin, April 13, 2023 - The Shareholders' AGM of BasicNet S.p.A. today:

• approved the 2022 Separate Financial Statements and the distribution of a gross dividend of Euro 0.18 before withholding taxes for each outstanding share, for a total of Euro 9 million. The dividend will be paid from April 26, 2023, with record date of April 25, 2023 and coupon date (No. 16) of April 24, 2023;
• approved section 1 of the Remuneration Policy of the company as per Article 123-ter of the Consolidated Finance Act;
• voted in favour of section II of the Remuneration Policy of the Company as per Article 123-ter of the Consolidated Finance Act;
• authorised the Board of Directors to purchase, on one or more occasions, a maximum number of ordinary shares which, taking account of those already held by the Company, does not exceed the legal limits, for a period beginning from the date of this Shareholders' Meeting and extending until the date of the Shareholders' Meeting called to approve the 2023 Annual Accounts. The Shareholders' AGM also authorised the Board of Directors to utilise treasury shares without time limit.

Conclusion of the treasury share buy-back plan authorised by the Shareholders' AGM of May 30, 2022

With today's AGM, the treasury share buy-back plan approved by the AGM of May 30, 2022, whose commencement was communicated to the market on that date, concluded. Based on this authorisation, the Company acquired 617,002 treasury shares at an average price of Euro 5.45, for a total investment of Euro 3.4 million.

Filing of documentation

The 2022 Separate and Consolidated Financial Statements, in addition to the further documentation required by Article 77 of Consob Resolution No. 11971 of May 14, 1999, were filed and made available to the public at the registered office in Turin, Largo Maurizio Vitale,1, on Borsa Italiana S.p.A.'s website, on the website www.basicnet.com, and on the authorised storage website .

The minutes of the Shareholders' Meeting will be made available to the public through the same means and in accordance with law.
