INFORMATIVA SUL PIANO DI ACQUISTO AZIONI PROPRIE

Tamburi Investment Partners S.p.A. ("TIP" – tip.mi) gruppo industriale indipendente e diversificato quotato al segmento Euronext STAR Milan (codice LEI 81560017CF8066680595) comunica di aver acquistato sul mercato Euronext Milan, nel periodo dal 24 aprile 2023 al 28 aprile 2023 n. 46.570 azioni ordinarie (pari allo 0,025% del capitale sociale) al prezzo medio ponderato di euro 8,3888 per un controvalore complessivo di euro 390.664,42.

Gli acquisti sono stati effettuati per il tramite dell'intermediario Equita Sim S.p.A. (codice LEI 815600E3E9BFBC8FAA85).

Si precisa pertanto che alla data del 28 aprile 2023 la società detiene n. 17.138.331 azioni proprie (pari al 9,295% del capitale sociale).

Il piano di acquisto di azioni proprie deliberato dall'Assemblea degli Azionisti in data 28 aprile 2022 si è concluso in data 27 aprile 2023 con l'acquisto complessivo di n. 2.142.224 azioni.

Contestualmente si comunica che, nell'ambito dell'autorizzazione al piano di acquisto di azioni proprie deliberata dall'Assemblea degli Azionisti il 27 aprile 2023, TIP intende dare esecuzione ad un programma di acquisto di azioni proprie fino ad un massimo di ulteriori n. 5.000.000 di azioni da effettuarsi entro il 27 ottobre 2024 sul mercato Euronext Milan, organizzato e gestito da Borsa Italiana S.p.A. ("EXM"). Gli acquisti effettuati il 28 aprile 2023 rientrano in tale nuovo programma.

DISCLOSURE REGARDING THE PLAN FOR THE PURCHASE OF TREASURY SHARES

Tamburi Investment Partners S.p.A. ("TIP" – tip.mi) independent and diversified industrial group listed on the Euronext STAR Milan (LEI code no. 81560017CF8066680595) in execution of the treasury shares program declares the acquisition on the Euronext Milan market of n. 46,570 TIP S.p.A. ordinary shares (equal to 0.025% of share capital) throughout April 24, 2023, to April 28, 2023, at a weighted average price of 8.3888 Euro, at the countervalue of 390,664.42 Euro.

Purchases were made through the intermediary Equita Sim S.p.A. (code LEI 815600E3E9BFBC8FAA85). The breakdown on a daily basis of the purchases of the period of Tamburi Investment Partners S.p.A. ordinary shares, ISIN code IT0003153621, is as follow while the details of the transactions carried out in the period are reported in the attachment.

Therefore as at April 28, 2023 the Company owns 17,138,331 ordinary shares (equivalent to 9.295% of the share capital).

The buy-back plan approved by the Shareholders' Meeting on 28 April 2022 was concluded on 27 April 2023 with the overall purchase of n. 2,142,224 shares.

At the same time, TIP informs that, as part of the authorization for the treasury share purchase plan resolved by the Shareholders' Meeting on April 27, 2023, TIP intends to implement a treasury share purchase program up to a maximum of a further no. 5,000,000 shares to be executed by 27 October 2024 on the Euronext Milan market, organized and managed by Borsa Italiana S.p.A. ("EXM"). Purchases made on April 28, 2023 are included in this new program.
